If you do not agree to these Terms, do not purchase or use the Services.

PART ONE — GENERAL TERMS, SERVICES, PAYMENT & CANCELLATION

1. AGREEMENT, ACCEPTANCE AND AUTHORITY

1.1 Binding Agreement

These Terms apply to all customers, clients, businesses, authorized representatives, and other persons purchasing or using Services from Roofing Appointments LLC.

These Terms should be read together with any applicable:

  • Campaign Agreement;

  • Campaign Data Form;

  • Invoice;

  • Order;

  • Proposal;

  • Credit or Replacement Policy;

  • Written appointment guarantee;

  • Service-specific agreement; and

  • Other written terms expressly applicable to the purchased Service.

Together, those documents constitute the applicable agreement between Roofing Appointments LLC and the customer.

1.2 Electronic Acceptance

You agree that electronic acceptance may constitute legally binding acceptance to the extent permitted by applicable law.

Acceptance may include:

  • Checking an “I Agree” box;

  • Clicking an acceptance or purchase button;

  • Electronically signing an agreement;

  • Electronically approving an invoice, order, or campaign;

  • Submitting a Campaign Data Form after receiving applicable terms;

  • Making an authorized payment after receiving applicable terms; or

  • Otherwise electronically indicating acceptance.

Roofing Appointments may maintain electronic records documenting the transaction, including applicable Terms, agreements, invoices, payments, acceptance records, communications, campaign information, appointment records, delivery records, and other information reasonably necessary to document the transaction.

1.3 Authority to Bind a Business

If you purchase Services, approve an invoice, make a payment, submit campaign information, electronically accept these Terms, or otherwise act on behalf of a corporation, limited liability company, partnership, contractor, employer, or other organization, you represent and warrant that you have authority to act for and bind that organization concerning the transaction.

References in these Terms to “you,” “your,” “customer,” or “client” include the purchasing organization where applicable.

1.4 Business-to-Business Services

Roofing Appointments primarily provides business-to-business Services to contractors, roofing companies, restoration companies, public-adjusting businesses, home-service companies, commercial service providers, sales organizations, and other businesses and professionals.

The customer is responsible for determining whether a Service is appropriate and lawful for its business, jurisdiction, licensing status, and intended use.

Nothing offered by Roofing Appointments grants any contractor license, public-adjuster license, insurance license, professional license, permit, registration, certification, or governmental authorization.

2. ROOFING APPOINTMENTS SERVICES

Roofing Appointments provides appointment-generation, campaign-management, marketing, call-center, sales-support, customer-support, and related business Services.

Depending upon the program purchased, Services may include:

  • Storm-damage roofing appointments;

  • Retail roofing appointments;

  • Commercial roofing appointments;

  • Commercial roof-coating appointments;

  • Gutter appointments;

  • HVAC appointments;

  • Public-adjuster appointments;

  • Cleaning and exterior-service appointments;

  • Specialty-trade appointments;

  • Commercial prospecting and decision-maker appointments;

  • Appointment qualification;

  • Appointment confirmation;

  • Campaign trackers and dashboards;

  • Campaign setup;

  • Data acquisition and preparation;

  • Skip tracing and contact-data preparation;

  • Outbound calling;

  • Email and digital marketing;

  • Social-media marketing;

  • Dedicated campaign-support services;

  • Call-center and customer-support services;

  • Remote-sales services;

  • Reseller or white-label services; and

  • Other appointment, marketing, sales, or business-support Services offered by Roofing Appointments.

The specific Services included in a customer’s purchase are determined by the applicable order, invoice, Campaign Agreement, Campaign Data Form, proposal, or other written Service description.

2.1 Appointment Services Are Business Opportunities

An appointment supplied by Roofing Appointments is a business and sales opportunity, not a guaranteed sale.

Depending upon the applicable campaign, an appointment may provide the customer or its representative an opportunity to:

  • Meet with a property owner or decision-maker;

  • Inspect a property;

  • Evaluate a roof or other property component;

  • Present findings;

  • Present an estimate;

  • Discuss available services;

  • Evaluate a potential project; or

  • Conduct another campaign-specific sales or business activity.

The detailed appointment guarantee, qualification requirements, credit eligibility, and replacement procedures are addressed in later sections of these Terms and in applicable campaign-specific written terms.

2.2 No Automatic Guarantee of Results

Unless expressly guaranteed in a separate written provision applicable to the particular transaction, purchase of Services does not guarantee:

  • A sale;

  • A signed contract;

  • A contingency agreement;

  • A retail agreement;

  • An insurance claim;

  • Insurance coverage or approval;

  • Financing approval;

  • Property or storm damage;

  • Roof replacement;

  • Revenue;

  • Profit;

  • Commission;

  • Return on investment; or

  • Any particular closing percentage.

The customer’s sales presentation, inspection, estimating, follow-up, contracting, pricing, representative performance, and closing activities remain the customer’s responsibility.

This is consistent with the existing Campaign Agreement, which defines the guarantee as the appointment opportunity and applicable inspection or estimate presentation—not the sale.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

2.3 Changes to Services

Roofing Appointments may prospectively add, modify, replace, discontinue, or change Services, packages, features, pricing, promotional offers, technologies, vendors, or programs.

Changes to future offerings do not alter a previously accepted transaction unless the parties agree otherwise or applicable law requires otherwise.

3. ORDERS, PRICING AND PAYMENT

3.1 Pricing

Unless otherwise stated, all prices are stated in United States dollars.

The customer agrees to pay all charges applicable to the purchased Services, which may include:

  • Appointment charges;

  • Campaign charges;

  • Setup fees;

  • Data charges;

  • Skip-tracing charges;

  • Marketing charges;

  • Advertising charges;

  • Success fees;

  • Call-center charges;

  • Answering-service charges;

  • Remote-sales charges;

  • Recurring service charges;

  • Technology charges;

  • Customization charges;

  • Taxes; and

  • Other charges disclosed before or as part of the applicable transaction.

The applicable invoice, order, proposal, Campaign Agreement, or written offer establishes the pricing applicable to that transaction.

3.2 Payment Authorization

By submitting payment information or authorizing payment, you represent that:

  1. You are authorized to use the payment method;

  2. The payment information provided is accurate;

  3. Roofing Appointments is authorized to process the agreed charges; and

  4. The payment relates to the Services identified in the applicable transaction.

Payment may be accepted through payment methods approved by Roofing Appointments.

3.3 Setup and Data Fees

Campaign setup fees may compensate Roofing Appointments for work performed before or during campaign launch, including:

  • Campaign creation;

  • Data acquisition;

  • Data preparation;

  • Skip tracing;

  • Territory preparation;

  • Dialer or software configuration;

  • Campaign scripting;

  • Calendar configuration;

  • Agent assignment;

  • Training;

  • Quality-control preparation; and

  • Campaign launch activities.

Once setup, data acquisition, preparation, configuration, or other campaign work has begun, applicable setup and data fees are earned and nonrefundable to the maximum extent permitted by law.

3.4 Deposits and Prepayments

A deposit, campaign payment, appointment deposit, prepaid appointment purchase, or other advance payment represents a commitment to purchase the applicable Services.

Unless expressly stated otherwise in a written agreement applicable to the transaction, a deposit or prepayment is not an option to cancel the campaign later and is not converted into a refundable balance because the customer changes its plans or elects not to continue using the Services.

3.5 Promotional and Discounted Pricing

Roofing Appointments may offer promotional, introductory, negotiated, package, volume, or other discounted pricing.

Unless expressly stated otherwise:

  • Discounts have no cash value;

  • Discounts cannot be redeemed for cash;

  • Promotional pricing applies only to the transaction for which it was offered;

  • Promotional pricing does not establish pricing for future campaigns;

  • Promotions may be limited by date, territory, campaign type, quantity, or availability; and

  • A customer’s failure to use or complete a promotional purchase does not create a refund right.

3.6 Success Fees and Additional Charges

Certain commercial, specialty, remote-sales, or other programs may include success fees or other charges triggered by a specified event.

Where applicable, the triggering event, amount, and payment requirements will be identified in the applicable invoice, Campaign Agreement, proposal, or other written terms.

The customer is responsible for accurately reporting events that trigger an agreed success fee.

4. CANCELLATION, REFUND AND FINAL-SALE POLICY

4.1 All Campaigns Are Non-Cancelable

ALL ROOFING APPOINTMENTS CAMPAIGNS ARE NON-CANCELABLE ONCE PURCHASED, ACCEPTED, OR ACTIVATED, EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE OR ROOFING APPOINTMENTS EXPRESSLY AGREES OTHERWISE IN WRITING.

A campaign is considered purchased or accepted when the customer completes the applicable transaction, which may include signing or electronically accepting an agreement, approving an order or invoice, authorizing payment, or making payment.

The existing Roofing Appointments Campaign Agreement likewise provides that campaigns are non-cancelable once purchased and that campaign payments are final and nonrefundable.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

4.2 All Payments Are Final and Nonrefundable

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL PAYMENTS TO ROOFING APPOINTMENTS ARE FINAL AND NONREFUNDABLE.

NO CUSTOMER CANCELLATIONS.
NO CASH REFUNDS.
NO RETURNS.

This policy applies to, as applicable:

  • Campaign payments;

  • Appointment packages;

  • Individual appointments;

  • Prepaid appointments;

  • Deposits;

  • Setup fees;

  • Data fees;

  • Marketing fees;

  • Advertising fees;

  • Pay-as-you-go Services already ordered or performed;

  • Commercial appointment programs;

  • Specialty campaigns;

  • Answering services;

  • Call-center services;

  • Remote-sales services;

  • Success fees once earned; and

  • Other purchased Services.

4.3 Circumstances That Do Not Create a Cancellation or Refund Right

Without limiting the foregoing, a customer does not acquire a right to cancel a campaign or receive a cash refund merely because:

  • The customer changes its mind;

  • The customer decides not to continue;

  • The customer changes its business strategy;

  • The customer experiences financial difficulties;

  • The customer changes staffing;

  • A salesperson, manager, owner, or representative leaves the company;

  • The customer lacks sufficient representatives;

  • The customer becomes unable to service appointments;

  • The customer changes territory;

  • The customer changes qualification criteria;

  • The customer changes scheduling availability;

  • The customer requests that production be paused;

  • The customer cannot accommodate available appointment times;

  • Production is slower than the customer anticipated;

  • Appointment delivery takes longer than anticipated;

  • The customer does not achieve its anticipated closing percentage;

  • The customer does not achieve its anticipated revenue or profit;

  • A prospect does not purchase;

  • An inspection identifies no damage;

  • Insurance does not approve a claim;

  • Financing is unavailable or denied;

  • The customer fails to properly attend, inspect, present, follow up, or close an appointment; or

  • The customer otherwise becomes unable or unwilling to use Services it purchased.

4.4 Production Time Is Not a Cancellation Right

Appointment production depends upon numerous operational conditions, including territory, available data, property-owner response, market conditions, qualification requirements, customer calendar capacity, appointment availability, quality-control requirements, weather, holidays, and other campaign conditions.

Unless Roofing Appointments expressly provides a specific written delivery guarantee applicable to the particular transaction, a longer-than-anticipated production or delivery period does not create a right to:

  • Cancel the campaign;

  • Demand a refund;

  • Reverse payment;

  • Convert unused appointments into cash;

  • Convert remaining appointments into a monetary refund; or

  • Terminate an otherwise valid payment obligation.

This is also expressly stated in the existing Campaign Agreement, which provides that a longer-than-anticipated delivery period does not create a right to cancel, request a refund, reverse payment, or convert remaining appointments into a monetary credit.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

4.5 Credits and Replacements Are Not Refunds

The appointment credit and replacement process is separate from this Cancellation and Refund Policy.

Where an appointment qualifies for an approved credit under the applicable Roofing Appointments Credit Policy, the remedy is generally a replacement appointment, rescheduled appointment, or applicable service credit—not a cash refund.

AN APPROVED APPOINTMENT CREDIT DOES NOT, BY ITSELF, ENTITLE THE CUSTOMER TO A CASH REFUND, PAYMENT REVERSAL, PRICE REDUCTION, OR CANCELLATION OF THE REMAINING CAMPAIGN.

The existing Campaign Agreement likewise states that approved credits are replacement appointments and are not cash credits, refunds, price reductions, account withdrawals, or cancellation rights.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

The detailed 48-hour credit review, qualifying and non-qualifying circumstances, documentation requirements, rescheduling procedures, and replacement process will be governed by the later Credit & Replacement provisions of these Terms and any applicable campaign-specific policy.

4.6 No Unilateral Cancellation or Monetary Offset

A customer may not unilaterally cancel a purchased campaign, convert remaining appointments into a monetary balance, deduct disputed appointments from amounts otherwise owed, or treat an unapproved credit request as a refund or offset.

Any credit, adjustment, replacement, or other accommodation must be approved in accordance with the applicable Roofing Appointments policy or expressly agreed to in writing.

4.7 Non-Waivable Rights

Nothing in this Cancellation and Refund Policy is intended to eliminate a right or remedy that applicable law does not permit the parties to waive.

Where applicable law expressly requires a refund, cancellation right, or other remedy notwithstanding these Terms, the legally required right or remedy will apply to the extent required by law.

5. APPOINTMENT GUARANTEE

5.1 What Roofing Appointments Guarantees

Roofing Appointments guarantees the appointment opportunity, subject to the applicable campaign criteria, these Terms, and any campaign-specific written agreement.

For a Storm-Damage Roofing Appointment, the guaranteed opportunity generally means an appointment for the customer’s representative to meet with the property owner or authorized decision-maker and perform the applicable roof inspection.

For a Retail Roofing Appointment, the guaranteed opportunity generally means an appointment for the customer’s representative to meet with the property owner or authorized decision-maker, perform the applicable roof evaluation, and present or discuss a roofing estimate or roofing services.

For commercial, public-adjuster, specialty-trade, or other appointment programs, the guaranteed opportunity will be defined by the applicable campaign description, invoice, Campaign Agreement, Campaign Data Form, or other written campaign terms.

Roofing Appointments’ existing Campaign Agreement similarly defines the guarantee as the appointment opportunity and applicable inspection or estimate presentation—not the sale.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

5.2 What Roofing Appointments Does Not Guarantee

ROOFING APPOINTMENTS DOES NOT GUARANTEE A SALE.

Unless expressly stated otherwise in a separate written guarantee applicable to the particular transaction, Roofing Appointments does not guarantee:

  • That the property owner will purchase;

  • That the property owner will select the customer;

  • A signed roofing contract;

  • A signed contingency agreement;

  • A signed retail agreement;

  • A particular project value;

  • A particular closing percentage;

  • Revenue;

  • Profit;

  • Commission;

  • Return on investment;

  • Financing approval;

  • Insurance coverage;

  • Insurance claim approval;

  • Insurance proceeds;

  • Filing of an insurance claim;

  • The existence of storm damage;

  • The existence of insurable damage;

  • Roof replacement;

  • Approval of a full roof replacement; or

  • Any other particular sales, insurance, financial, or business result.

A properly qualified appointment may satisfy Roofing Appointments’ obligations even when the customer does not make a sale.

5.3 No Guarantee of Storm Damage

A storm-damage appointment is an opportunity to inspect a property that meets the applicable campaign criteria. It is not a representation or guarantee that the property has hail, wind, hurricane, tornado, or other covered damage.

Roofing Appointments may use storm information, hail information, weather history, property information, roof information, homeowner statements, third-party data, or other information in identifying and qualifying potential opportunities.

The customer’s qualified representative remains responsible for physically inspecting the property and independently determining whether damage exists.

A finding of no damage after a completed inspection does not, by itself, make the appointment invalid or create a right to a refund, credit, replacement, chargeback, or payment reversal.

5.4 No Guarantee of Insurance Coverage or Claim Approval

Roofing Appointments is not an insurance carrier and does not control an insurance carrier’s coverage determination, adjustment, claim decision, payment, scope, deductible determination, depreciation, or other claim decision.

The existence of a storm event, hail report, weather report, property inspection, or appointment does not guarantee that:

  • A property owner has coverage;

  • A loss falls within the policy period;

  • A claim will be filed;

  • A claim will be accepted;

  • Damage will be covered;

  • A carrier will approve replacement;

  • A carrier will pay any particular amount; or

  • A contractor will obtain a project.

5.5 Customer Controls the Sale

Roofing Appointments creates and delivers the appointment opportunity.

The customer is responsible for its own:

  • Representative selection;

  • Representative training;

  • Timely attendance;

  • Inspection or evaluation;

  • Sales presentation;

  • Estimate;

  • Pricing;

  • Contract terms;

  • Follow-up;

  • Objection handling;

  • Financing presentation where applicable and lawful;

  • Customer service; and

  • Closing of the sale.

Failure by the customer or its representative to convert an appointment into a sale does not establish that Roofing Appointments failed to perform.

6. CAMPAIGN PRODUCTION, DELIVERY & SCHEDULING

6.1 Production Depends on Campaign Conditions

Appointment production and delivery may vary based upon factors including:

  • Geographic territory;

  • Population and property density;

  • Available homeowner or commercial data;

  • Data quality;

  • Market conditions;

  • Storm activity;

  • Qualification requirements;

  • Roof-age requirements;

  • Property-type requirements;

  • Customer scheduling availability;

  • Property-owner availability;

  • Response rates;

  • Quality-control review;

  • Calling conditions;

  • Regulatory requirements;

  • Weather;

  • Holidays;

  • Seasonality;

  • Customer-requested restrictions;

  • Customer representative capacity; and

  • Other operational circumstances.

Roofing Appointments does not guarantee that appointments will be generated at an identical rate from one territory, campaign, customer, or time period to another.

6.2 No Guaranteed Delivery Time Unless Expressly Agreed in Writing

Unless a specific completion or production deadline is expressly stated as a guarantee in a written agreement applicable to the particular campaign, Roofing Appointments does not guarantee that:

  • A campaign will be completed within a particular number of days;

  • A particular number of appointments will be delivered each day or week;

  • Appointments will be evenly distributed throughout the campaign;

  • A replacement appointment will be delivered by a particular date; or

  • Production will occur at a particular daily, weekly, or monthly rate.

The existing Campaign Agreement likewise states that campaign and replacement production are subject to operational conditions and that no specific delivery timeframe is guaranteed.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

Where Roofing Appointments expressly provides a written production guarantee for a particular transaction, the terms and remedy stated in that written guarantee control.

6.3 Appointment Scheduling

Appointments may be scheduled according to the days, times, availability, territories, capacity, and restrictions supplied or approved by the customer.

The customer is responsible for maintaining accurate scheduling information.

The customer must promptly notify Roofing Appointments of:

  • Blocked dates;

  • Holidays;

  • Meetings;

  • Representative absences;

  • Changes in operating hours;

  • Territory changes;

  • Calendar changes;

  • Capacity limitations; and

  • Other circumstances affecting appointment availability.

The Campaign Data Form already provides for appointment days, available times, same-day appointments, double booking, advance notice, appointment length, maximum daily/weekly volume, blocked dates, representative information, and campaign territory.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

6.4 Same-Day and Double-Booked Appointments

Where the customer authorizes same-day appointments, double booking, or other special scheduling arrangements, Roofing Appointments may schedule appointments according to that authorization.

The customer is responsible for maintaining sufficient representatives and operational capacity to service appointments scheduled according to its approved instructions.

6.5 Customer-Requested Holds or Pauses

If the customer requests that Roofing Appointments pause, slow, restrict, or temporarily stop campaign production, the resulting delay is considered customer-caused.

A customer-requested pause does not create a right to:

  • Cancel the campaign;

  • Receive a refund;

  • Reverse payment;

  • Convert unused appointments into cash;

  • Demand immediate delivery after the hold is removed; or

  • Require Roofing Appointments to maintain dedicated campaign capacity indefinitely during the hold.

When production resumes, appointment delivery remains subject to then-current territory, data, scheduling, qualification, and operational conditions.

6.6 Customer Changes During Production

Customer-requested changes to the campaign may affect production.

Such changes may include:

  • Changing counties;

  • Changing cities;

  • Changing ZIP codes;

  • Reducing territory;

  • Changing maximum travel radius;

  • Changing roof-age requirements;

  • Changing property types;

  • Changing storm dates;

  • Changing appointment availability;

  • Reducing appointment capacity;

  • Adding qualification requirements;

  • Removing previously approved criteria; or

  • Changing the services the customer wishes to offer.

Roofing Appointments may require additional time, data, setup, or fees to implement material campaign changes.

A change requested after campaign launch does not retroactively invalidate appointments generated under the previously approved criteria.

7. CUSTOMER RESPONSIBILITIES

7.1 Accurate Campaign Information

The customer must provide accurate and reasonably complete information necessary to establish and operate the campaign.

This may include:

  • Company information;

  • Representative information;

  • Telephone numbers;

  • Email addresses;

  • Calendar availability;

  • Service areas;

  • Approved ZIP codes;

  • Excluded territories;

  • Maximum travel radius;

  • Qualification criteria;

  • Roof criteria;

  • Property criteria;

  • Storm information;

  • Scheduling restrictions; and

  • Other campaign-specific requirements.

The customer is responsible for reviewing and approving the information contained in its Campaign Data Form.

7.2 Maintain Appointment Capacity

The customer must maintain sufficient personnel and calendar capacity to receive appointments purchased.

Staffing problems, representative turnover, vacations, production backlogs, internal scheduling problems, financial circumstances, or other customer operational issues do not create a cancellation or refund right.

7.3 Review Appointment Information and Recordings

When Roofing Appointments provides an appointment recording or supporting appointment information, the customer’s assigned representative is expected to review the available information before attending the appointment.

The recording may contain important information concerning:

  • Why the property owner agreed to the appointment;

  • How the appointment was presented;

  • Property concerns;

  • Roof information;

  • Qualification responses;

  • Objections discussed;

  • Scheduling information; and

  • Other information relevant to the appointment.

The customer’s representative should use this information to arrive prepared and continue the appointment conversation appropriately.

7.4 Timely Attendance

The customer’s representative is responsible for arriving at the scheduled appointment on time.

A customer representative who:

  • Misses the appointment;

  • Arrives materially late;

  • Goes to the wrong property because the representative failed to review provided information;

  • Fails to communicate appropriately;

  • Fails to perform the required inspection or evaluation; or

  • Fails to provide the applicable presentation

may cause the appointment to become ineligible for replacement or credit.

7.5 Inspection, Evaluation and Presentation

For storm-damage appointments, the customer’s representative is responsible for conducting the applicable inspection.

For retail appointments, the customer’s representative is responsible for conducting the applicable roof evaluation and providing or discussing the applicable estimate or roofing presentation.

For other campaign types, the customer must perform the applicable service, inspection, evaluation, consultation, or presentation contemplated by the campaign.

Roofing Appointments is not responsible for the quality or effectiveness of the customer’s inspection, presentation, estimate, proposal, pricing, follow-up, or sales performance.

7.6 Professional Conduct

The customer is responsible for the conduct of its owners, employees, managers, sales representatives, inspectors, estimators, public adjusters, independent contractors, subcontractors, and other representatives.

Customer representatives must conduct themselves professionally and comply with applicable law.

7.7 Outcome Reporting

The customer must accurately report appointment outcomes when requested or required by the applicable campaign.

Outcomes may include:

  • Inspection completed;

  • Estimate presented;

  • Customer signed;

  • Customer did not sign;

  • No damage found;

  • Property owner not present;

  • Inspection refused;

  • Estimate or presentation refused;

  • Rescheduled;

  • Customer representative missed appointment; or

  • Another applicable campaign disposition.

Outcome reporting may be used for quality control, campaign optimization, credit review, rescheduling, replacement determinations, reporting, and performance analysis.

7.8 Supporting Documentation

The customer is responsible for maintaining and supplying documentation required for appointment-credit or replacement review.

Documentation requirements and deadlines will be addressed in the Credit & Replacement provisions of these Terms.

Failure to maintain or timely provide required evidence may result in denial of a replacement request.

8. CAMPAIGN QUALIFICATION STANDARDS

8.1 Campaign-Specific Criteria Control

Appointment qualification criteria may differ depending upon:

  • Campaign type;

  • Territory;

  • Customer requirements;

  • Property type;

  • Roof type;

  • Roof age;

  • Storm event;

  • Service being offered;

  • Customer availability; and

  • Other campaign-specific factors.

The criteria approved in the applicable Campaign Agreement, Campaign Data Form, invoice, proposal, or other written campaign instructions control for that campaign.

8.2 Retail Roofing Criteria

Retail roofing qualification criteria may include:

  • Minimum roof age;

  • Roof type;

  • Property type;

  • Number of stories;

  • Minimum roof or project size;

  • Property-owner participation;

  • Prior estimates;

  • Research-stage homeowners;

  • Repair opportunities;

  • Territory; and

  • Other customer-approved requirements.

The existing Campaign Data Form allows these criteria to be selected and customized for the individual campaign.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

8.3 Storm-Damage Criteria

Storm-damage qualification criteria may include:

  • Storm date or date of loss;

  • Hail;

  • Wind;

  • Hurricane;

  • Tornado;

  • Mixed storm events;

  • Approved storm territory;

  • Minimum roof age;

  • Prior denied claims;

  • Prior claims without completed repairs;

  • Prior contractor inspections;

  • Property-owner participation; and

  • Other campaign-specific requirements.

These criteria may be customized in the applicable Campaign Data Form.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

8.4 Property Owner or Authorized Decision-Maker

Where the campaign requires the property owner or authorized decision-maker to participate, Roofing Appointments may rely upon information provided by the person contacted and reasonably available property information when determining qualification.

For rental properties, campaigns may require participation or authorization by the landlord, owner, property manager, or other authorized decision-maker as specified by the applicable campaign.

8.5 Information Supplied by Prospects

Roofing Appointments may reasonably rely upon information provided by a property owner, decision-maker, representative, or prospect during qualification.

Roofing Appointments does not guarantee that every statement made by a prospect is independently verifiable or will remain unchanged after the appointment is scheduled.

A prospect’s later change of mind, recollection, circumstances, intentions, availability, or statements does not automatically establish that Roofing Appointments improperly qualified the appointment.

8.6 Quality-Control Review

Roofing Appointments may review appointments before delivery to determine whether they reasonably satisfy the applicable campaign criteria.

Quality-control review may include:

  • Reviewing the appointment-setting call;

  • Reviewing qualification responses;

  • Reviewing property information;

  • Reviewing appointment date and time;

  • Confirming campaign territory;

  • Reviewing available supporting information; and

  • Rejecting appointments that do not satisfy applicable standards.

Quality-control approval means Roofing Appointments determined, based upon the information reasonably available at the time, that the appointment satisfied applicable campaign requirements.

It does not guarantee that the prospect will later purchase, sign, obtain insurance approval, obtain financing, maintain the same intentions, or produce a particular business result.

8.7 Qualification Does Not Guarantee Closing

A qualified appointment may remain a valid appointment even when:

  • The customer does not close the sale;

  • The homeowner receives another estimate;

  • The homeowner speaks with another contractor;

  • The homeowner decides not to proceed;

  • No storm damage is identified;

  • Insurance does not cover the project;

  • Financing is declined;

  • The homeowner changes plans after the appointment;

  • The project value is lower than expected; or

  • The customer determines that it does not wish to pursue the opportunity.

Those circumstances concern the outcome of the sales opportunity and do not, by themselves, establish that the appointment failed its qualification criteria.

9. APPOINTMENT CREDIT & REPLACEMENT POLICY

9.1 Replacement Is the Remedy for an Approved Appointment Credit

Roofing Appointments maintains a credit and replacement process for appointments that materially fail the applicable written campaign criteria or guaranteed appointment opportunity.

ALL APPROVED APPOINTMENT CREDITS ARE ISSUED AS REPLACEMENT APPOINTMENTS, RESCHEDULED APPOINTMENTS, OR APPLICABLE SERVICE CREDITS.

AN APPOINTMENT CREDIT IS NOT A CASH REFUND.

Unless Roofing Appointments expressly agrees otherwise in writing or applicable law requires otherwise, an approved credit does not:

  • Reverse the original sale;

  • Cancel the underlying campaign;

  • Require return of the original payment;

  • Reduce the original purchase price;

  • Create a cash balance owed to the customer;

  • Permit the customer to cancel remaining appointments;

  • Convert a prepaid campaign into a refundable transaction;

  • Permit a payment reversal or chargeback;

  • Eliminate another amount properly owed; or

  • Give the customer the unilateral right to select a different product or Service.

The existing Campaign Agreement likewise provides that approved credits are replacement appointments and are not cash credits, refunds, price reductions, account withdrawals, or cancellation rights.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

9.2 Replacement Appointments

Approved replacements may be fulfilled within the existing campaign or another campaign area mutually approved by Roofing Appointments and the customer.

Replacement production remains subject to:

  • Territory;

  • Available data;

  • Prospect availability;

  • Customer scheduling availability;

  • Campaign criteria;

  • Qualification standards;

  • Quality-control review; and

  • Other reasonable operational conditions.

Unless expressly guaranteed otherwise in writing, no specific replacement-delivery date is guaranteed.

Replacement appointments have no cash value and may not be sold, assigned, transferred, exchanged, or redeemed for cash without Roofing Appointments’ written authorization.

10. CREDIT ELIGIBILITY & 48-HOUR REVIEW REQUIREMENT

10.1 Mandatory 48-Hour Submission Deadline

ALL REQUESTS FOR APPOINTMENT CREDIT OR REPLACEMENT MUST BE SUBMITTED WITHIN 48 HOURS OF THE SCHEDULED APPOINTMENT TIME UNLESS A DIFFERENT WRITTEN POLICY EXPRESSLY APPLIES TO THE CAMPAIGN.

The 48-hour period begins at the scheduled appointment time.

A request submitted after the applicable deadline may be denied as untimely regardless of whether the appointment might otherwise have qualified for review.

Roofing Appointments’ existing Campaign Agreement also requires replacement requests to be submitted within 48 hours and supported with appointment and representative information.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

10.2 Required Information

A credit or replacement request may be required to include:

  • Appointment ID;

  • Property-owner or prospect name;

  • Property address;

  • Scheduled appointment date;

  • Scheduled appointment time;

  • Assigned representative;

  • Representative arrival time;

  • Detailed appointment outcome;

  • Explanation of the alleged appointment failure;

  • Confirmation that the representative arrived as scheduled;

  • Property photograph;

  • Representative photograph or selfie at the property;

  • Date and time verification;

  • Location verification;

  • Call history;

  • Text-message history;

  • Inspection information;

  • Appointment notes;

  • Tracker or CRM disposition; and

  • Other documentation reasonably requested by Roofing Appointments.

Roofing Appointments may require supporting evidence appropriate to the circumstances before approving a replacement.

10.3 Evidence of Attendance

When a request depends upon the customer’s assertion that its representative appeared at the property but the appointment could not be completed, Roofing Appointments may require evidence demonstrating timely attendance.

Such evidence may include a representative selfie or property photograph reasonably showing:

  • The representative’s presence at the property;

  • The date;

  • The approximate time; and/or

  • Location information where available.

Failure to establish timely attendance may result in denial of the request.

10.4 Credit-Eligible Circumstances

Subject to the applicable campaign requirements and sufficient supporting documentation, an appointment may qualify for credit review where:

  • The required property owner or decision-maker is not present for the scheduled appointment;

  • The property owner or decision-maker is present but refuses the agreed storm inspection;

  • The property owner or decision-maker refuses the agreed retail roof evaluation or estimate presentation;

  • The appointment materially fails the written qualification criteria applicable when it was generated; or

  • Another circumstance expressly identified as credit-eligible in the applicable written campaign policy occurs.

A circumstance being eligible for review does not mean the credit is automatically approved.

11. CREDIT REVIEW, VERIFICATION & RESCHEDULING

11.1 Roofing Appointments May Investigate the Request

Roofing Appointments has the right to reasonably investigate any request for credit or replacement.

The review may include:

  • Reviewing the original appointment-setting recording;

  • Reviewing qualification responses;

  • Reviewing quality-control records;

  • Reviewing appointment notes;

  • Reviewing the Campaign Data Form;

  • Reviewing photographs or location evidence;

  • Reviewing communications supplied by the customer;

  • Verifying representative attendance;

  • Contacting the property owner or prospect;

  • Determining whether the representative arrived on time;

  • Determining whether the inspection or presentation occurred;

  • Determining whether the campaign criteria were satisfied; and

  • Requesting additional supporting information.

The customer agrees to reasonably cooperate with the review.

11.2 Roofing Appointments May Contact the Prospect

Roofing Appointments may contact the property owner, prospect, authorized representative, or decision-maker associated with an appointment for legitimate purposes including:

  • Confirming what occurred;

  • Verifying attendance;

  • Resolving conflicting information;

  • Determining whether an inspection was offered or performed;

  • Determining whether a presentation occurred;

  • Attempting to recover the appointment;

  • Rescheduling the appointment;

  • Quality control;

  • Campaign management; and

  • Credit review.

11.3 Rescheduling Before Replacement

Where reasonably appropriate, Roofing Appointments may first attempt to recover or reschedule an appointment before issuing a replacement.

If the property owner agrees to a new appointment and the appointment opportunity can reasonably be restored, the rescheduled appointment may satisfy the applicable credit request.

A customer may not require a replacement appointment while simultaneously refusing a reasonable rescheduling opportunity that would restore the originally purchased appointment opportunity.

11.4 Credit Decision

After review, Roofing Appointments may determine that:

  • The appointment qualifies for replacement;

  • The appointment should be rescheduled;

  • Additional documentation is required;

  • The appointment satisfied the applicable criteria and does not qualify for replacement; or

  • The request is otherwise ineligible under the applicable policy.

Submission of a credit request does not constitute approval.

12. NON-CREDITABLE APPOINTMENT OUTCOMES

Unless a campaign-specific written guarantee expressly provides otherwise, an appointment generally does not qualify for credit or replacement merely because:

  • The property owner does not purchase;

  • The property owner does not sign a contract;

  • The property owner does not sign a contingency agreement;

  • The property owner selects another contractor;

  • The customer does not close the sale;

  • No storm damage is found;

  • No replacement need is identified;

  • The project is smaller than anticipated;

  • The project is not profitable enough for the customer;

  • An insurance claim is not filed;

  • Insurance coverage is denied;

  • An insurance carrier does not approve replacement;

  • Financing is denied or unavailable;

  • The customer representative is late;

  • The customer representative misses the appointment;

  • The representative fails to inspect or evaluate the property;

  • The representative fails to provide the applicable presentation or estimate;

  • The representative is unprepared;

  • The representative fails to review available appointment information;

  • The customer fails to appropriately follow up;

  • The customer lacks staffing;

  • The customer changes territory;

  • The customer changes qualification criteria;

  • The customer changes scheduling availability;

  • The customer no longer wants the campaign;

  • The customer experiences production or operational problems;

  • The customer requests a campaign pause;

  • The credit request is submitted after the applicable deadline;

  • Required supporting evidence is not supplied; or

  • Campaign or replacement production takes longer than anticipated.

These exclusions are also reflected in the existing Campaign Agreement.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

12.1 Sales Outcome Is Different From Appointment Validity

The purpose of the credit process is to determine whether Roofing Appointments delivered the guaranteed appointment opportunity—not whether the customer achieved its desired sales result.

Accordingly:

NO SALE DOES NOT AUTOMATICALLY MEAN A BAD APPOINTMENT.

NO DAMAGE DOES NOT AUTOMATICALLY MEAN A BAD APPOINTMENT.

NO INSURANCE APPROVAL DOES NOT AUTOMATICALLY MEAN A BAD APPOINTMENT.

A CUSTOMER’S FAILURE TO CLOSE DOES NOT AUTOMATICALLY MEAN A BAD APPOINTMENT.

13. PAYMENT DISPUTES, CHARGEBACKS & PAYMENT REVERSALS

13.1 Direct Resolution of Billing or Service Concerns

If the customer believes that a billing error, unauthorized charge, campaign error, or material service issue has occurred, the customer should promptly notify Roofing Appointments in writing and provide sufficient information for Roofing Appointments to investigate the matter.

Where legally permissible, before initiating a payment dispute concerning an alleged service or fulfillment problem, the customer agrees to provide Roofing Appointments a reasonable opportunity to:

  • Review the issue;

  • Review transaction records;

  • Review campaign records;

  • Review appointment records;

  • Review recordings;

  • Review credit requests;

  • Correct an actual billing error;

  • Reschedule a qualifying appointment;

  • Provide an approved replacement; or

  • Otherwise address the matter under the applicable agreement.

13.2 Contractually Inconsistent Payment Disputes

To the maximum extent permitted by applicable law, the customer agrees not to initiate or authorize a chargeback, payment reversal, stop-payment request, bank dispute, card dispute, ACH reversal, payment-platform dispute, or similar payment challenge solely on a ground that directly contradicts terms the customer previously accepted, including where Roofing Appointments remains willing and able to perform its contractual obligations or provide an approved replacement remedy.

Examples may include asserting a right to a cash refund solely because:

  • The customer changed its mind;

  • The customer decided not to continue;

  • The campaign is taking longer than anticipated where no delivery deadline was guaranteed;

  • The customer did not close enough sales;

  • A property had no damage;

  • An insurance claim was denied;

  • The customer experienced staffing problems;

  • The customer changed territory;

  • The customer paused production;

  • An appointment qualifies for replacement rather than a cash refund; or

  • The customer disagrees with an otherwise applicable non-cancelable or nonrefundable term.

The existing Campaign Agreement similarly provides that non-cancelability, nonrefundable payments, the absence of a guaranteed completion timeframe, replacement-only credits, and the absence of a guaranteed sale are agreed contractual terms and are not, by themselves, valid grounds for a payment dispute.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

13.3 Payment Methods Covered

This section applies, where relevant, to payment challenges involving:

  • Credit cards;

  • Debit cards;

  • Bank accounts;

  • ACH transactions;

  • Electronic transfers;

  • Zelle;

  • Venmo;

  • Cash App;

  • PayPal;

  • Payment processors;

  • Digital payment platforms; and

  • Other payment methods used to pay Roofing Appointments.

13.4 Roofing Appointments May Contest a Payment Dispute

Roofing Appointments reserves the right to contest any chargeback, reversal, payment dispute, or other payment challenge that it reasonably believes is factually inaccurate, fraudulent, made in bad faith, or inconsistent with the applicable transaction and agreement.

Roofing Appointments may submit relevant evidence to the applicable:

  • Bank;

  • Card issuer;

  • Card network;

  • Payment processor;

  • Payment application;

  • Financial institution;

  • ACH provider; or

  • Other entity administering the dispute.

13.5 Evidence That May Be Submitted

Evidence may include, where relevant and lawfully available:

  • These Terms;

  • The version of these Terms applicable to the transaction;

  • Campaign Agreements;

  • Campaign Data Forms;

  • Orders;

  • Proposals;

  • Invoices;

  • Payment records;

  • Payment authorizations;

  • Electronic acceptance records;

  • Electronic signatures;

  • Date and time records;

  • Communications;

  • Emails;

  • Text messages;

  • Appointment records;

  • Appointment delivery records;

  • Appointment-setting recordings;

  • Quality-control records;

  • Confirmation records;

  • Property information;

  • Credit requests;

  • Supporting photographs;

  • Credit-review records;

  • Rescheduling attempts;

  • Replacement records;

  • Campaign trackers;

  • Service records;

  • Proof of campaign setup;

  • Proof of data acquisition or preparation;

  • Proof of performance; and

  • Other information reasonably relevant to the disputed transaction.

The customer acknowledges that Roofing Appointments may use and disclose such information as reasonably necessary to establish the validity of the transaction, respond to the dispute, enforce the agreement, or protect its legal rights, subject to applicable law.

13.6 Wrongful or Fraudulent Payment Disputes

A knowingly false, fraudulent, fabricated, or bad-faith payment dispute may constitute a material breach of these Terms.

This may include knowingly:

  • Falsely claiming a transaction was unauthorized when the customer authorized it;

  • Falsely claiming Services were never provided when performance records establish otherwise;

  • Concealing delivery or performance from a payment provider;

  • Providing fabricated evidence;

  • Altering communications or transaction records;

  • Misrepresenting the applicable cancellation or refund policy;

  • Claiming an approved replacement credit was promised as a cash refund when it was not;

  • Filing inconsistent claims with multiple payment providers concerning the same transaction; or

  • Otherwise knowingly misrepresenting material facts to obtain a payment reversal to which the customer is not entitled.

Roofing Appointments reserves all lawful contractual and legal remedies concerning fraudulent or bad-faith conduct.

13.7 A Payment Dispute Does Not Automatically Cancel the Contract

Initiating a chargeback, bank dispute, stop payment, or payment-platform dispute does not, by itself:

  • Cancel the campaign;

  • Terminate these Terms;

  • Convert the transaction into a refundable purchase;

  • Eliminate amounts legitimately owed;

  • Convert appointment credits into cash refunds;

  • Waive Roofing Appointments’ rights; or

  • Release the customer from other contractual obligations.

A temporary credit issued by a bank, card issuer, processor, or payment platform during its investigation does not constitute a determination by Roofing Appointments that the customer is contractually entitled to a refund.

13.8 Non-Waivable Dispute Rights

NOTHING IN THESE TERMS PROHIBITS OR WAIVES A CUSTOMER’S RIGHT TO REPORT OR DISPUTE A GENUINELY UNAUTHORIZED TRANSACTION, ACTUAL BILLING ERROR, FRAUD, OR OTHER MATTER WHERE THE RIGHT TO DO SO CANNOT LAWFULLY BE WAIVED.

Nothing in these Terms prevents a customer from exercising rights provided by applicable law or mandatory payment-network or financial-institution rules.

This section is intended to address wrongful, fraudulent, bad-faith, or contractually inconsistent payment reversals, not to eliminate legally protected dispute rights.

14. PAST-DUE BALANCES, COLLECTIONS & SUSPENSION OF SERVICES

14.1 Amounts Due Remain Due

Amounts properly owed under an applicable order, invoice, Campaign Agreement, success-fee arrangement, or other written agreement remain due until paid, adjusted by Roofing Appointments in writing, or otherwise resolved according to applicable law.

A customer’s unilateral assertion that an appointment is invalid does not automatically eliminate an amount due.

14.2 Suspension for Nonpayment

Roofing Appointments may suspend campaign production, appointment delivery, replacement production, marketing, answering services, remote-sales services, account access, or other ongoing Services when an account is materially past due.

Suspension for nonpayment does not:

  • Cancel the underlying obligation;

  • Create a refund;

  • Convert prepaid Services into cash;

  • Waive outstanding amounts; or

  • Require Roofing Appointments to continue incurring campaign expenses while payment remains delinquent.

14.3 Collection of Legitimately Owed Amounts

Roofing Appointments may take lawful steps to collect amounts legitimately due under an applicable agreement.

Such steps may include:

  • Sending payment notices;

  • Suspending further Services;

  • Attempting direct resolution;

  • Providing transaction documentation;

  • Referring an account for collection where appropriate;

  • Pursuing contractual remedies; or

  • Pursuing other remedies available under applicable law.

14.4 Collection Costs and Attorneys’ Fees

To the extent permitted by applicable law and the applicable agreement, a customer may be responsible for reasonable costs incurred in collecting a legitimately past-due amount or enforcing the customer’s payment obligations, including reasonable collection costs, court costs, and attorneys’ fees where recoverable.

Nothing in this provision authorizes recovery of a fee or cost prohibited by applicable law.

14.5 No Waiver From Continued Performance

If Roofing Appointments elects to continue working on a campaign despite a late payment, disputed balance, or other breach, continued performance does not waive Roofing Appointments’ right to later enforce the applicable payment or contractual terms.

15. OWNERSHIP OF INTELLECTUAL PROPERTY

15.1 Roofing Appointments Intellectual Property

Unless expressly stated otherwise in writing, Roofing Appointments LLC owns or controls all right, title, and interest in and to its original proprietary materials, content, branding, systems, processes, and other intellectual property, including all applicable copyrights, trademarks, trade dress, trade secrets, know-how, database rights, and other intellectual-property rights.

Protected materials may include:

  • The Roofing Appointments name and branding;

  • Logos, marks, slogans, and taglines;

  • Website content and website design;

  • Graphics and advertisements;

  • Marketing and sales materials;

  • Campaign materials;

  • Appointment-setting scripts;

  • Call-center scripts and procedures;

  • Training materials;

  • Process Guides and operating procedures;

  • Forms, questionnaires, and worksheets;

  • Campaign Data Forms;

  • Credit-review procedures;

  • Quality-control procedures;

  • Appointment qualification systems;

  • Sales processes and methodologies;

  • Reports and presentation materials;

  • Videos, photographs, illustrations, and original graphics;

  • Written copy and promotional materials;

  • Software configurations and workflows;

  • Proprietary databases and compilations;

  • Data structures and campaign architecture;

  • Internal documentation;

  • Pricing structures and non-public business information;

  • Recorded training and instructional content; and

  • Other original or proprietary materials developed or owned by Roofing Appointments.

The customer’s purchase of Services does not transfer ownership of Roofing Appointments’ intellectual property.

16. COPYRIGHT PROTECTION & RESTRICTIONS ON COPYING

16.1 Copyrighted Materials

Original materials appearing on or provided through RoofingAppointment.com or Roofing Appointments’ Services may be protected by United States and international copyright laws.

Except as expressly authorized in writing or permitted by applicable law, customers and website users may not:

  • Copy;

  • Reproduce;

  • Republish;

  • Upload;

  • Post;

  • Distribute;

  • Transmit;

  • Sell;

  • Resell;

  • License;

  • Sublicense;

  • Translate for commercial distribution;

  • Modify;

  • Adapt;

  • Create unauthorized derivative works from;

  • Commercially exploit; or

  • Make unauthorized public or commercial use of

Roofing Appointments’ copyrighted or proprietary materials.

16.2 Limited Internal Business Use

Where Roofing Appointments provides a document, recording, report, roof diagram, hail report, appointment record, campaign material, or other deliverable to a customer as part of purchased Services, the customer may use that deliverable for its legitimate internal business purposes and for servicing the applicable appointment or campaign, subject to these Terms.

This limited use permission does not authorize the customer to:

  • Sell Roofing Appointments materials;

  • Republish them as the customer’s own products;

  • Create a competing product from them;

  • Distribute them to unrelated third parties;

  • Place them in a commercial library or database;

  • Use them to train a competing appointment-generation operation;

  • Remove ownership notices for purposes of misrepresenting authorship; or

  • Otherwise commercially exploit Roofing Appointments’ proprietary content.

16.3 No Removal of Proprietary Notices

Customers may not knowingly remove, conceal, alter, or falsify copyright notices, trademark notices, watermarks, proprietary legends, attribution notices, or other ownership information appearing on Roofing Appointments materials for the purpose of concealing ownership or misrepresenting the source of the material.

17. TRADEMARKS, BRANDING & UNAUTHORIZED USE

17.1 Roofing Appointments Brand

The names, logos, slogans, trade dress, and other source-identifying branding used by Roofing Appointments LLC are valuable business assets.

No provision of these Terms grants the customer ownership of, or an unrestricted license to use, Roofing Appointments’ trademarks, service marks, logos, branding, or other source identifiers.

17.2 Prohibited Trademark and Brand Use

Except with Roofing Appointments’ prior written authorization or as otherwise permitted by law, a customer or third party may not use Roofing Appointments’ name, logo, branding, or other protected source identifiers in a manner likely to:

  • Falsely imply sponsorship;

  • Falsely imply endorsement;

  • Falsely imply affiliation;

  • Suggest a partnership that does not exist;

  • Suggest an agency relationship that does not exist;

  • Suggest a franchise relationship that does not exist;

  • Suggest authorization that has not been granted;

  • Confuse customers regarding the source of services;

  • Impersonate Roofing Appointments;

  • Pass off another service as a Roofing Appointments service; or

  • Otherwise infringe or misappropriate Roofing Appointments’ trademark or related rights.

17.3 No Confusingly Similar Branding

To the extent prohibited by applicable trademark or unfair-competition law, no person may adopt or use a name, mark, logo, domain, social-media identity, advertisement, trade dress, or other source identifier that is confusingly similar to Roofing Appointments’ protected branding in connection with competing or related services.

17.4 Reseller and White-Label Programs

Customers participating in an authorized reseller or white-label program receive only those branding or usage rights expressly granted in the applicable written reseller or white-label agreement.

No reseller relationship transfers ownership of Roofing Appointments’ underlying systems, processes, intellectual property, databases, scripts, or other proprietary materials.

Termination of a reseller or white-label relationship terminates any associated branding permission except to the extent otherwise stated in writing.

18. INTELLECTUAL-PROPERTY INFRINGEMENT & ENFORCEMENT

18.1 Unauthorized Commercial Exploitation

Roofing Appointments reserves all rights and remedies available under applicable law for infringement, misappropriation, unauthorized reproduction, or unauthorized commercial exploitation of its intellectual property.

This includes unauthorized use of Roofing Appointments materials to:

  • Establish a competing appointment-generation business;

  • Train competing appointment setters;

  • Develop competing scripts or training products through unauthorized copying;

  • Republish proprietary documents;

  • Resell proprietary forms or materials;

  • Duplicate proprietary campaign systems;

  • Misappropriate databases or compilations;

  • Falsely represent Roofing Appointments materials as another party’s work; or

  • Otherwise commercially exploit protected materials without authorization.

18.2 No Reverse Engineering or System Replication

To the extent permitted by applicable law, customers may not use unauthorized access to non-public Roofing Appointments materials, systems, databases, workflows, or confidential information for the purpose of reverse engineering, reconstructing, duplicating, or creating a competing version of Roofing Appointments’ proprietary business systems.

This restriction does not prohibit conduct that applicable law expressly permits notwithstanding contractual restrictions.

18.3 No Rights Granted by Silence

Roofing Appointments’ failure to immediately object to an unauthorized use does not, by itself, grant permission, ownership, a license, or a waiver of intellectual-property rights.

19. CONFIDENTIAL & PROPRIETARY INFORMATION

19.1 Protected Information

During a business relationship, a customer may receive or obtain access to non-public information belonging to Roofing Appointments.

Depending upon the circumstances, confidential or proprietary information may include:

  • Internal scripts;

  • Call flows;

  • Training materials;

  • Quality-control procedures;

  • Appointment qualification procedures;

  • Credit-review procedures;

  • Internal operating procedures;

  • Campaign strategies;

  • Non-public pricing;

  • Data-acquisition methods;

  • Data-source information;

  • Vendor relationships;

  • BPO relationships;

  • Call-center relationships;

  • Contractor relationships;

  • Referral relationships;

  • Business contacts;

  • Non-public customer information;

  • Proprietary databases;

  • Prospect lists;

  • Campaign lists;

  • Internal reports;

  • Technology configurations;

  • Workflows;

  • Business methods;

  • Sales methodologies;

  • Performance information;

  • Internal financial information;

  • Credentials or access information; and

  • Other information that is identified as confidential or that a reasonable business person would understand to be non-public and confidential under the circumstances.

19.2 Permitted Use

Confidential information supplied in connection with a campaign may be used only as reasonably necessary to participate in or receive the applicable Services and for other purposes expressly authorized by Roofing Appointments.

The customer may not knowingly use Roofing Appointments’ confidential information to compete unfairly with Roofing Appointments, circumvent protected business relationships, misappropriate trade secrets, or commercially exploit non-public information without authorization.

19.3 Excluded Information

Confidential-information restrictions do not apply to information that the customer can establish:

  • Was lawfully known without confidentiality restrictions before disclosure;

  • Became publicly available without the customer’s breach;

  • Was lawfully received from a third party authorized to disclose it;

  • Was independently developed without improper use of Roofing Appointments’ confidential information; or

  • Must be disclosed pursuant to applicable law, subpoena, court order, or governmental requirement.

Where legally permissible, a recipient required to disclose protected information should provide reasonable notice so appropriate protective measures may be considered.

20. APPOINTMENT DATA, PROSPECT INFORMATION & CAMPAIGN RECORDS

20.1 Limited Campaign Use

Appointment and prospect information provided to a customer is supplied for legitimate use in connection with the customer’s applicable campaign and the servicing, inspection, presentation, follow-up, or closing of that appointment.

The customer may not sell, broker, license, publish, transfer, or commercially distribute appointment information to unrelated third parties unless Roofing Appointments expressly authorizes such use in writing or the customer independently possesses a lawful right to do so.

The existing Campaign Agreement similarly requires appointment information to be used for the campaign and prohibits resale, transfer, or sharing without written authorization.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

20.2 No Building Competing Databases Through Unauthorized Extraction

Customers and website users may not systematically scrape, harvest, extract, copy, or compile Roofing Appointments’ non-public appointment, prospect, campaign, or proprietary database information for the purpose of:

  • Creating competing prospect databases;

  • Reselling the information;

  • Operating an unauthorized lead-generation business;

  • Redistributing Roofing Appointments’ proprietary data;

  • Circumventing Roofing Appointments; or

  • Engaging in another unauthorized commercial use.

20.3 Customer Responsibility for Data After Delivery

Once customer-accessible appointment information is lawfully delivered, the customer is responsible for protecting that information and using it in accordance with applicable privacy, marketing, telecommunications, data-security, and other laws applicable to the customer’s activities.

The customer is responsible for access to appointment information by its employees, sales representatives, independent contractors, subcontractors, managers, and other authorized users.

20.4 No Unauthorized Publication of Personal Information

Neither party is authorized by these Terms to publicly disclose another person’s non-public personal information in violation of applicable law.

Appointment information should be handled for legitimate campaign and business purposes rather than used for harassment, public exposure, retaliation, or other unlawful activity.

21. CALL RECORDINGS, QUALITY CONTROL & COMMUNICATION RECORDS

21.1 Appointment-Setting Recordings

Roofing Appointments may record appointment-setting, confirmation, quality-control, credit-review, rescheduling, customer-service, or other business calls when permitted and handled in accordance with applicable law.

Recordings may be used for legitimate business purposes including:

  • Appointment preparation;

  • Quality control;

  • Training;

  • Coaching;

  • Verification;

  • Appointment confirmation;

  • Campaign management;

  • Customer support;

  • Credit review;

  • Replacement review;

  • Dispute investigation;

  • Fraud prevention;

  • Contract enforcement; and

  • Documentation of the parties’ business relationship.

21.2 Recordings Provided to Customers

When Roofing Appointments provides a customer access to an appointment-setting recording, the recording is supplied primarily to help the customer’s representative understand the appointment, prepare for the visit, and continue the sales conversation.

Providing access to a recording does not transfer ownership of Roofing Appointments’ underlying recording systems, scripts, methods, or other intellectual property.

21.3 No Manipulation or Misrepresentation of Recordings

A customer may not knowingly alter, deceptively edit, fabricate, misrepresent, or present a Roofing Appointments recording in a materially misleading manner for the purpose of:

  • Manufacturing a false credit claim;

  • Supporting a fraudulent payment dispute;

  • Falsely damaging Roofing Appointments’ reputation;

  • Misrepresenting what a prospect said;

  • Misrepresenting what an appointment setter said; or

  • Creating false evidence.

Nothing in this provision prohibits ordinary excerpts or use of recordings where done truthfully, lawfully, and without creating a materially false impression.

21.4 Record Retention

Roofing Appointments may maintain appointment recordings and related business records for such periods as Roofing Appointments reasonably determines appropriate for its business, contractual, compliance, quality-control, dispute-resolution, or legal purposes, subject to applicable law and any governing retention requirements.

Roofing Appointments does not guarantee that every recording or campaign record will be retained indefinitely.

22. NON-CIRCUMVENTION & PROTECTED BUSINESS RELATIONSHIPS

22.1 Protection Against Improper Circumvention

A customer may obtain knowledge of non-public Roofing Appointments business relationships through the Services, including relationships with:

  • BPOs;

  • Call centers;

  • Appointment setters;

  • Data providers;

  • Technology providers;

  • Vendors;

  • Contractors;

  • Subcontractors;

  • Marketing partners;

  • Referral sources; and

  • Other service providers.

The customer may not improperly use Roofing Appointments’ confidential or proprietary information to intentionally bypass Roofing Appointments and directly appropriate a protected non-public business relationship in violation of an applicable confidentiality, non-circumvention, or other enforceable contractual obligation.

22.2 No General Restriction on Independent Relationships

This provision does not prohibit a customer from independently doing business with a person or company the customer lawfully knew independently of Roofing Appointments, discovered through public sources, or otherwise has the legal right to engage.

Its purpose is to prevent misuse of Roofing Appointments’ confidential information and protected business relationships—not to prohibit ordinary lawful competition.

23. SURVIVAL OF INTELLECTUAL-PROPERTY & CONFIDENTIALITY OBLIGATIONS

Termination, expiration, completion, suspension, or cancellation of a campaign does not terminate rights and obligations that by their nature are intended to survive.

To the extent applicable, provisions concerning:

  • Copyright;

  • Trademarks;

  • Intellectual property;

  • Proprietary materials;

  • Confidential information;

  • Trade secrets;

  • Appointment-data restrictions;

  • Unauthorized copying;

  • Payment obligations;

  • Dispute evidence;

  • Fraud;

  • Remedies; and

  • Other continuing obligations

survive for the period provided by the applicable agreement or law.

Nothing in these Terms requires information that qualifies as a trade secret under applicable law to lose protection merely because a particular campaign or customer relationship ends.

24. REVIEWS, DISPARAGEMENT, FALSE STATEMENTS & BUSINESS REPUTATION

24.1 Honest Reviews and Lawful Communications

Roofing Appointments respects a customer’s right to express truthful opinions about its actual experience and to raise legitimate concerns regarding Services.

Nothing in these Terms is intended to prohibit or restrict:

  • An honest review reflecting the customer’s actual experience;

  • A truthful statement of fact;

  • A sincerely held opinion;

  • A good-faith complaint;

  • A good-faith report of suspected unlawful conduct;

  • Communications with an attorney or professional adviser;

  • Communications with a governmental agency, regulator, law-enforcement authority, financial institution, or other entity where legally protected;

  • Truthful testimony;

  • Compliance with a subpoena, court order, or legal process; or

  • Any other communication protected by applicable law.

24.2 Knowingly False or Malicious Statements

Customers may not knowingly publish, communicate, distribute, encourage, or cause others to publish materially false statements of fact concerning Roofing Appointments, its Services, owners, employees, contractors, agents, or business practices.

Prohibited conduct may include knowingly:

  • Fabricating an experience that did not occur;

  • Falsely claiming that Services were never provided when they were provided;

  • Falsely claiming that an authorized transaction was unauthorized;

  • Falsely representing the terms of a campaign;

  • Falsely representing the cancellation or refund policy;

  • Falsely stating that a replacement credit was promised as a cash refund;

  • Fabricating statements allegedly made by Roofing Appointments;

  • Falsifying communications;

  • Publishing materially altered evidence in a misleading manner;

  • Creating false allegations for the purpose of obtaining money, a refund, credit, concession, or other benefit; or

  • Making statements known by the speaker to be materially false with the intent to cause wrongful commercial or reputational harm.

24.3 Fake Reviews and Review Manipulation

Customers may not create, purchase, solicit, coordinate, or cause the publication of fraudulent reviews or ratings concerning Roofing Appointments.

This includes:

  • Creating fake accounts to post multiple reviews;

  • Posting reviews under false identities;

  • Directing persons who did not use the Services to claim that they did;

  • Coordinating a campaign of fabricated reviews;

  • Paying or providing consideration for knowingly false reviews;

  • Using bots or automated systems to manipulate ratings;

  • Impersonating customers, employees, contractors, or other persons;

  • Submitting materially identical fabricated complaints through multiple identities; or

  • Manipulating screenshots, recordings, documents, or other evidence to support a false review.

24.4 Threats to Publish Knowingly False Information

A customer may not knowingly threaten to publish fabricated or materially false factual allegations as leverage to obtain:

  • A refund not otherwise owed;

  • A cash payment;

  • An appointment credit for which the customer does not qualify;

  • A cancellation;

  • A discount;

  • Free Services;

  • Waiver of an outstanding balance; or

  • Another financial or commercial concession.

This provision does not prohibit a customer from truthfully stating that it intends to leave an honest review, pursue a legitimate complaint, consult an attorney, contact a regulator, or exercise another lawful right.

24.5 No Retaliation for Protected Communications

Roofing Appointments will not interpret this section as prohibiting a customer from making truthful or legally protected communications.

The purpose of this section is to address knowingly false statements, fabricated evidence, impersonation, fraudulent reviews, malicious falsehoods, and similar misconduct, not legitimate criticism.

25. IMPERSONATION, FALSE AFFILIATION & UNAUTHORIZED REPRESENTATIONS

25.1 No Impersonation

No customer or website user may impersonate Roofing Appointments or knowingly create the false impression that the person is:

  • Roofing Appointments LLC;

  • An owner of Roofing Appointments;

  • An employee of Roofing Appointments;

  • An authorized representative;

  • An authorized reseller;

  • A call-center representative;

  • A customer-service representative; or

  • Another person or entity affiliated with Roofing Appointments

when no such relationship or authorization exists.

25.2 No False Authority

Customers may not make representations, guarantees, warranties, promises, or commitments on behalf of Roofing Appointments unless Roofing Appointments expressly authorized the representation in writing.

A customer may not bind Roofing Appointments to:

  • A refund;

  • A credit;

  • A guarantee;

  • A delivery date;

  • A pricing commitment;

  • A contractual obligation; or

  • Another promise

without actual authority to do so.

25.3 Unauthorized Social-Media or Online Accounts

No person may create or operate a website, domain name, social-media account, profile, listing, advertising account, or other online presence that falsely represents itself as an official Roofing Appointments property.

Authorized resellers or white-label customers remain subject to their separate written branding authorization.

26. FRAUD, FABRICATED EVIDENCE & ABUSE OF THE CREDIT PROCESS

26.1 Accurate Information Required

Customers must provide materially accurate information when submitting:

  • Campaign information;

  • Appointment outcomes;

  • Credit requests;

  • Replacement requests;

  • Payment inquiries;

  • Billing disputes;

  • Chargeback responses;

  • Account information; or

  • Other information used to administer the Services.

26.2 Prohibited Credit and Replacement Fraud

Customers may not knowingly:

  • Submit a false appointment outcome;

  • Claim that a representative attended when the representative did not;

  • Falsify arrival times;

  • Falsify location information;

  • Use a photograph from a different property;

  • Alter photograph metadata to manufacture evidence;

  • Submit an old photograph as evidence of current attendance;

  • Fabricate a homeowner communication;

  • Alter a text message or email to change its meaning;

  • Manipulate a recording;

  • Conceal that an inspection or presentation occurred;

  • Misrepresent the reason an appointment was unsuccessful;

  • Submit the same event for multiple credits;

  • Claim a customer-caused failure was caused by Roofing Appointments; or

  • Otherwise intentionally provide materially false evidence to obtain an appointment replacement, credit, refund, or financial benefit.

26.3 Consequences of Fraudulent Submissions

A knowingly fraudulent credit, replacement, billing, or payment submission may result in:

  • Denial of the request;

  • Suspension of the account;

  • Suspension of campaign production;

  • Termination of Services;

  • Loss of eligibility for discretionary accommodations;

  • Recovery of benefits obtained through the fraudulent submission; and

  • Exercise of other lawful contractual or legal remedies.

Roofing Appointments reserves the right to preserve evidence reasonably necessary to investigate suspected fraud or defend its rights.

27. PROHIBITED USE OF SERVICES

Customers and website users may not use Roofing Appointments’ website, systems, information, or Services to engage in unlawful, fraudulent, abusive, deceptive, or unauthorized activity.

Prohibited conduct includes:

  • Fraud;

  • Identity theft;

  • Impersonation;

  • Unauthorized account access;

  • Attempting to bypass security controls;

  • Introducing malicious software;

  • Interfering with website or system operation;

  • Unauthorized scraping or automated extraction;

  • Unauthorized copying of proprietary databases;

  • Intellectual-property infringement;

  • Misappropriation of trade secrets;

  • Unlawful use of prospect information;

  • Harassment or threats;

  • Fabrication of appointment records;

  • Manipulation of evidence;

  • Unauthorized resale of appointments or data;

  • Using Roofing Appointments materials to falsely imply endorsement;

  • Circumventing access restrictions;

  • Attempting to obtain Services through materially false information; or

  • Encouraging another person to engage in prohibited conduct.

Roofing Appointments may restrict, suspend, or terminate access when it reasonably determines that a customer has materially violated this section, subject to applicable law and contractual obligations.

28. WEBSITE, ACCOUNT & SYSTEM USE

28.1 Limited Permission to Use the Website

Roofing Appointments grants website users a limited, revocable, non-exclusive, non-transferable right to access and use RoofingAppointment.com for legitimate business purposes consistent with these Terms.

No ownership interest in the website, software, content, databases, or underlying systems is transferred to the user.

28.2 Account Security

Where account credentials are issued, the customer is responsible for maintaining reasonable security over its:

  • Username;

  • Password;

  • Login credentials;

  • Dashboard access;

  • CRM access;

  • Campaign information; and

  • Other account credentials.

The customer should promptly notify Roofing Appointments of suspected unauthorized access.

28.3 Automated Access, Scraping & Data Extraction

Unless expressly authorized in writing or permitted by applicable law, users may not employ bots, crawlers, scraping software, automated extraction tools, scripts, or similar technologies to systematically copy or extract non-public:

  • Appointment information;

  • Prospect information;

  • Customer information;

  • Pricing;

  • Campaign information;

  • Database contents;

  • Proprietary materials; or

  • Other protected Roofing Appointments information.

28.4 Interference With Systems

Users may not knowingly:

  • Attempt to gain unauthorized access;

  • Circumvent security measures;

  • Probe systems for unauthorized purposes;

  • Interfere with servers or networks;

  • Introduce malware or harmful code;

  • Conduct denial-of-service activity;

  • Attempt to obtain another customer’s information without authorization; or

  • Otherwise disrupt Roofing Appointments’ technology or Services.

29. THIRD-PARTY DATA, REPORTS & INFORMATION

29.1 Third-Party Information

Certain Services or campaign deliverables may incorporate information obtained from third-party sources.

Depending upon the campaign, this may include:

  • Property information;

  • Ownership information;

  • Telephone information;

  • Email information;

  • Skip-traced data;

  • Roof measurements;

  • Roof diagrams;

  • Aerial imagery;

  • Hail information;

  • Storm-history information;

  • Weather information;

  • Mapping information;

  • Geographic information; and

  • Other third-party data.

29.2 No Guarantee of Perfect Third-Party Accuracy

Roofing Appointments may reasonably rely on third-party data providers but does not control every underlying source.

Accordingly, unless expressly warranted in writing, Roofing Appointments does not guarantee that every item of third-party information will be:

  • Error-free;

  • Complete;

  • Current;

  • Continuously available; or

  • Independently verified.

The customer should independently verify information material to its inspection, estimate, contract, claim, legal compliance, or other professional decision.

29.3 Roof Diagrams, Hail Maps & Storm History

Roof diagrams, hail maps, storm histories, aerial information, and similar reports are provided as supporting business information where included in the purchased campaign.

They do not constitute a guarantee that:

  • A roof has a particular measurement;

  • A storm damaged the property;

  • A particular hailstone struck the property;

  • Damage occurred on a particular date;

  • An insurance policy covers the event;

  • An insurance carrier will accept a date of loss;

  • A claim will be approved; or

  • Roof replacement will be authorized.

The customer’s representative remains responsible for its own property inspection, measurements, conclusions, estimate, and professional judgment.

30. THIRD-PARTY TECHNOLOGY, VENDORS & SERVICE PROVIDERS

30.1 Use of Third-Party Providers

Roofing Appointments may use third-party vendors and technology in providing Services, including:

  • Telephone carriers;

  • Dialing platforms;

  • CRM providers;

  • Email providers;

  • SMS providers;

  • Calendar systems;

  • Cloud-hosting providers;

  • Mapping providers;

  • Data vendors;

  • Skip-tracing providers;

  • Aerial-measurement providers;

  • Weather and hail-data providers;

  • Payment processors;

  • Financial institutions;

  • Call-center providers;

  • BPO providers;

  • Analytics providers; and

  • Other technology or service providers.

Use of a third-party provider does not make that provider an employee or legal partner of the customer.

30.2 Third-Party Interruptions

Roofing Appointments is not responsible for a temporary interruption caused solely by a third-party provider outside Roofing Appointments’ reasonable control, subject to applicable law and any express written service commitment.

Examples may include:

  • Telecommunications outages;

  • Internet outages;

  • CRM outages;

  • Cloud-service interruptions;

  • Payment-processor interruptions;

  • Mapping or data-provider outages;

  • Carrier failures; or

  • Other external technology interruptions.

Roofing Appointments may use commercially reasonable efforts to restore or continue affected Services through available alternatives where appropriate.

30.3 Third-Party Terms

Certain third-party products, platforms, reports, or services may be subject to the third party’s own license, usage, privacy, or service terms.

The customer’s right to use those third-party materials may be limited accordingly.

31. NO UNAUTHORIZED THIRD-PARTY PROMISES

Statements by a person who is not authorized to bind Roofing Appointments do not modify these Terms.

Customers should not rely upon an alleged oral representation that materially conflicts with:

  • These Terms;

  • A signed Campaign Agreement;

  • An invoice;

  • A Campaign Data Form;

  • A written guarantee; or

  • Another written agreement issued or expressly approved by Roofing Appointments.

Any material modification to an applicable campaign’s contractual terms must be made or confirmed in writing by a person authorized to bind Roofing Appointments.

32. REPORTING INTELLECTUAL-PROPERTY OR WEBSITE MISUSE

A person who reasonably believes that Roofing Appointments’ website or Services are being used in a manner that infringes intellectual property, impersonates Roofing Appointments, misuses protected data, or otherwise violates these Terms may provide written notice to Roofing Appointments.

The notice should contain sufficient information to identify:

  • The complaining party;

  • The material or conduct at issue;

  • Where the material or conduct appears;

  • The basis for the complaint; and

  • Contact information for reasonable follow-up.

Roofing Appointments may investigate the report and take action it determines appropriate under these Terms and applicable law.

Nothing in this section requires Roofing Appointments to adjudicate private disputes between third parties.

33. ENFORCEMENT OF THESE PROVISIONS

Roofing Appointments’ rights under this Part are cumulative.

Depending upon the nature and severity of a violation, Roofing Appointments may exercise lawful remedies including:

  • Requesting removal or correction of infringing or fraudulent material;

  • Restricting access to proprietary information;

  • Suspending Services;

  • Terminating Services for material breach;

  • Preserving evidence;

  • Contesting fraudulent payment disputes;

  • Seeking recovery for legally compensable losses;

  • Enforcing intellectual-property rights;

  • Seeking appropriate injunctive relief where legally available; and

  • Pursuing other remedies available under contract or applicable law.

Nothing in these Terms creates a predetermined penalty for legitimate criticism or the exercise of a legally protected right.

34. CUSTOMER COMPLIANCE WITH APPLICABLE LAW

34.1 Customer Is Responsible for Its Business Operations

Roofing Appointments provides appointment-generation, campaign, marketing, call-center, and related business-support Services. The customer remains solely responsible for operating its own business in compliance with laws, regulations, licensing requirements, professional standards, and contractual obligations applicable to the customer’s activities.

The customer is responsible for determining and maintaining any licenses, registrations, permits, certifications, insurance, bonds, or other authorizations required for its business.

34.2 Contractor and Professional Licensing

Roofing Appointments does not represent that a customer is properly licensed, registered, insured, bonded, or otherwise authorized to perform work in any jurisdiction.

The customer is solely responsible for ensuring that it and its representatives are legally authorized to:

  • Inspect properties;

  • Solicit or contract for construction work;

  • Perform roofing or other contracting services;

  • Prepare estimates;

  • Enter construction agreements;

  • Provide public-adjusting services;

  • Provide insurance-related services;

  • Provide financing-related services;

  • Perform regulated professional services; and

  • Conduct any other activities undertaken following an appointment.

34.3 Customer Sales Practices

The customer is responsible for the representations made by its owners, employees, sales representatives, inspectors, estimators, contractors, subcontractors, and agents after receiving an appointment.

The customer may not attribute to Roofing Appointments a representation, guarantee, warranty, promise, or statement that Roofing Appointments did not authorize.

34.4 Insurance-Related Conduct

Roofing Appointments’ generation of a storm-related appointment does not authorize a customer to engage in public adjusting, insurance adjusting, legal advice, claim negotiation, or another regulated activity for which the customer is not properly authorized.

The customer is responsible for ensuring that its representatives remain within the lawful scope of their licenses and authority.

34.5 Customer Contracts and Estimates

Roofing Appointments is not a party to contracts entered between the customer and a property owner, prospect, insurer, lender, or other third party unless Roofing Appointments expressly signs a separate written agreement stating otherwise.

The customer is solely responsible for its:

  • Estimates;

  • Pricing;

  • Contracts;

  • Contingency agreements;

  • Financing documents;

  • Scope of work;

  • Warranties;

  • Representations;

  • Construction performance;

  • Permitting;

  • Collections;

  • Customer service; and

  • Other obligations to its customers.

35. TELEMARKETING, MARKETING & COMMUNICATION COMPLIANCE

35.1 Campaign Compliance

Roofing Appointments may use telephone, email, SMS, digital marketing, advertising, data, and other communication methods as part of its Services, subject to applicable campaign requirements and law.

Roofing Appointments may establish or modify calling procedures, compliance requirements, scripts, dialing practices, campaign hours, suppression procedures, or other operational standards where reasonably necessary for legal, regulatory, carrier, platform, or operational reasons.

35.2 Customer-Supplied Data

If a customer supplies Roofing Appointments with telephone numbers, email addresses, prospect lists, customer lists, suppression lists, or other marketing data, the customer represents that it has the lawful right to provide and use such data for the requested purpose.

The customer may not knowingly instruct Roofing Appointments to use unlawfully obtained data or engage in communications that the customer knows are prohibited.

35.3 Customer’s Subsequent Communications

After an appointment or prospect record is delivered, the customer is responsible for ensuring that its own subsequent calls, text messages, emails, advertising, solicitations, and other communications comply with applicable law.

Roofing Appointments does not control communications independently initiated by the customer after delivery.

36. NO PROFESSIONAL, LEGAL, INSURANCE OR FINANCIAL ADVICE

Unless expressly agreed otherwise in writing, information supplied through Roofing Appointments is provided for appointment-generation, marketing, sales-support, and business purposes.

Roofing Appointments does not provide legal advice and is not acting as the customer’s attorney.

Roofing Appointments does not act as an insurance carrier, insurance adjuster, public adjuster, lender, financial adviser, engineer, architect, building inspector, or other licensed professional merely by providing an appointment or campaign information.

Roof diagrams, hail information, storm histories, recordings, property information, scripts, training information, or other campaign materials should not be treated as a substitute for professional advice or independent investigation where professional review is appropriate.

37. CUSTOMER REPRESENTATIVES, EMPLOYEES & CONTRACTORS

The customer is responsible for persons it sends to or uses in connection with Roofing Appointments opportunities, including its:

  • Owners;

  • Officers;

  • Managers;

  • Employees;

  • Sales representatives;

  • Inspectors;

  • Estimators;

  • Project managers;

  • Independent contractors;

  • Subcontractors; and

  • Other representatives.

For purposes of customer obligations relating to attendance, inspections, presentations, campaign information, data security, confidential information, appointment records, and prohibited conduct, actions taken by a person acting for the customer may be treated as actions of the customer to the extent permitted by applicable law.

The customer is responsible for providing its representatives with information reasonably necessary to properly service appointments.

38. SUSPENSION OF SERVICES

38.1 Grounds for Suspension

Roofing Appointments may suspend some or all Services where it reasonably determines suspension is necessary because of:

  • Material nonpayment;

  • A materially past-due account;

  • Suspected fraud;

  • Fabricated credit documentation;

  • Material misuse of appointment information;

  • Unauthorized resale of appointment data;

  • Material intellectual-property infringement;

  • Unauthorized system access;

  • Security concerns;

  • Material misuse of Roofing Appointments’ brand;

  • Unlawful instructions;

  • Material breach of these Terms;

  • Conduct creating a material legal or regulatory risk;

  • Abusive interference with campaign operations; or

  • Another circumstance in which continued performance would be unlawful or materially unsafe for Roofing Appointments, its systems, personnel, customers, or business.

38.2 Effect of Suspension

Suspension does not automatically:

  • Cancel the campaign;

  • Create a refund right;

  • Convert prepaid Services into cash;

  • Eliminate an outstanding balance;

  • Convert replacement credits into cash;

  • Waive Roofing Appointments’ contractual rights; or

  • Excuse obligations that accrued before suspension.

Roofing Appointments may condition restoration of Services upon reasonable resolution of the issue that caused the suspension.

39. TERMINATION FOR MATERIAL BREACH

39.1 Roofing Appointments’ Right to Terminate

Roofing Appointments may terminate an account, campaign, or Service for a material breach of these Terms or an applicable written agreement, subject to applicable law.

Material breach may include:

  • Fraud;

  • Material payment default;

  • Knowingly fraudulent chargeback activity;

  • Fabricated evidence;

  • Repeated misuse of the credit process;

  • Unauthorized resale of appointment data;

  • Material intellectual-property infringement;

  • Misappropriation of confidential information;

  • Material unauthorized use of Roofing Appointments’ trademarks;

  • Material security violations;

  • Unlawful use of Services;

  • Intentional interference with Roofing Appointments’ systems;

  • Material impersonation or false affiliation; or

  • Another substantial violation of the customer’s contractual obligations.

39.2 Customer Cancellation Remains Subject to the Cancellation Policy

A customer’s request to stop using Services does not override the non-cancelable and nonrefundable provisions applicable to a campaign already purchased.

Stopping participation, refusing appointments, ceasing communication, changing personnel, or closing a customer account does not automatically create a refund or eliminate amounts otherwise due.

39.3 Effect of Termination

Termination does not extinguish obligations or rights that accrued before termination.

Where applicable, obligations concerning:

  • Payment;

  • Chargebacks and disputes;

  • Intellectual property;

  • Confidential information;

  • Appointment data;

  • Fraud;

  • Indemnification;

  • Limitations of liability;

  • Dispute resolution;

  • Collections; and

  • Other provisions intended by their nature to survive

remain effective after termination.

40. NO WARRANTIES REGARDING BUSINESS RESULTS

40.1 No Sales or Revenue Warranty

Except for an express written appointment or campaign guarantee specifically applicable to the customer’s transaction, Services are not accompanied by a warranty concerning the customer’s business results.

Roofing Appointments does not warrant that the customer will achieve:

  • Any minimum number of sales beyond an expressly purchased appointment quantity;

  • Any particular closing rate;

  • Any particular contract value;

  • Any particular average job size;

  • Any particular revenue;

  • Any particular gross profit;

  • Any particular net profit;

  • Any particular commission;

  • Any particular return on investment;

  • Any particular customer-acquisition cost; or

  • Any other financial result.

40.2 Examples and Projections

Any example, illustration, calculator, closing-rate scenario, revenue example, ROI projection, case study, historical result, testimonial, or hypothetical financial model is provided for informational or illustrative purposes unless expressly identified as a contractual guarantee.

Past performance does not guarantee future results.

40.3 Customer Business Decisions

The customer is responsible for evaluating the economics of its purchase, including:

  • Appointment cost;

  • Sales costs;

  • Representative compensation;

  • Travel;

  • Inspection costs;

  • Estimating costs;

  • Material costs;

  • Labor costs;

  • Overhead;

  • Insurance;

  • Financing;

  • Closing percentage; and

  • Other business expenses.

Roofing Appointments is not responsible for a customer’s profit or loss merely because actual business results differ from the customer’s expectations.

41. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR ANY EXPRESS WRITTEN GUARANTEE SPECIFICALLY PROVIDED BY ROOFING APPOINTMENTS, THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOFING APPOINTMENTS DISCLAIMS IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

Nothing in this section eliminates an express written obligation that Roofing Appointments specifically undertook in an applicable Campaign Agreement, invoice, written guarantee, or other controlling written agreement.

Nothing in these Terms excludes a warranty, right, or remedy that applicable law does not permit to be excluded.

42. LIMITATION OF LIABILITY

42.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOFING APPOINTMENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE WEBSITE, SERVICES, CAMPAIGN, OR THESE TERMS, INCLUDING CLAIMS FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OF ANTICIPATED SAVINGS, EXCEPT TO THE EXTENT SUCH A LIMITATION IS PROHIBITED BY LAW.

42.2 No Liability for Customer’s Failure to Close

Roofing Appointments is not liable merely because:

  • An appointment does not become a sale;

  • A property owner does not sign;

  • A property owner selects another contractor;

  • No damage is discovered;

  • An insurance claim is denied;

  • Financing is unavailable;

  • The customer’s representative misses or mishandles an appointment;

  • The customer’s pricing is rejected;

  • The customer fails to follow up; or

  • The customer’s anticipated ROI is not achieved.

42.3 Aggregate Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOFING APPOINTMENTS’ AGGREGATE LIABILITY ARISING OUT OF A PARTICULAR PURCHASE, CAMPAIGN, OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO ROOFING APPOINTMENTS BY THE CUSTOMER FOR THE SPECIFIC PURCHASE, CAMPAIGN, OR SERVICE GIVING RISE TO THE CLAIM DURING THE APPLICABLE PERIOD, EXCEPT WHERE APPLICABLE LAW DOES NOT PERMIT SUCH A LIMITATION.

For avoidance of doubt, this limitation does not convert a nonrefundable payment into a refundable payment and does not create liability where liability would not otherwise exist.

42.4 Exceptions Required by Law

Nothing in these Terms limits liability to the extent that applicable law prohibits such limitation, including liability that cannot lawfully be excluded or limited.

43. CUSTOMER INDEMNIFICATION

To the maximum extent permitted by applicable law, the customer agrees to defend, indemnify, and hold harmless Roofing Appointments LLC and its officers, managers, employees, authorized agents, and representatives from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from or relating to the customer’s:

  • Violation of applicable law;

  • Unlicensed or unauthorized professional activity;

  • Misrepresentation to a property owner or prospect;

  • Construction work or failure to perform construction work;

  • Inspection or estimate;

  • Contract with a property owner;

  • Insurance-related representation or conduct;

  • Financing-related representation or conduct;

  • Misuse of appointment or prospect data;

  • Unauthorized disclosure of personal information;

  • Intellectual-property infringement caused by materials supplied by the customer;

  • Unauthorized use of Roofing Appointments’ branding;

  • Fraudulent conduct;

  • Material violation of these Terms; or

  • Acts or omissions of persons acting on the customer’s behalf,

but only to the extent the claim results from conduct attributable to the customer or its representatives.

The customer is not required under this provision to indemnify Roofing Appointments for liability caused solely by Roofing Appointments’ own conduct where applicable law prohibits such indemnification.

44. CUSTOMER-PROVIDED CONTENT, BRANDING & CAMPAIGN MATERIALS

If a customer supplies Roofing Appointments with a logo, photograph, advertisement, script, telephone number, email address, customer list, marketing content, trademark, copyrighted work, or other material for use in a campaign, the customer represents that it has the rights and authority reasonably necessary for the requested use.

The customer grants Roofing Appointments a limited license to use such material solely as reasonably necessary to provide the requested Services.

The customer remains responsible for claims arising from customer-supplied content that unlawfully infringes a third party’s intellectual-property rights, except to the extent Roofing Appointments materially altered the content in a manner that independently created the infringement.

45. FORCE MAJEURE & EVENTS OUTSIDE REASONABLE CONTROL

Roofing Appointments will not be deemed in breach solely because performance is prevented or materially delayed by an event outside its reasonable control, subject to applicable law.

Such events may include:

  • Hurricanes;

  • Tornadoes;

  • Floods;

  • Fires;

  • Severe weather;

  • Natural disasters;

  • Widespread power outages;

  • Telecommunications failures;

  • Internet or cloud-service failures;

  • Government orders;

  • Changes in law or regulation;

  • War;

  • Terrorism;

  • Civil unrest;

  • Labor disruptions;

  • Major carrier outages;

  • Widespread technology failures;

  • Public emergencies; or

  • Other comparable circumstances outside Roofing Appointments’ reasonable control.

Roofing Appointments may resume affected performance when reasonably practicable.

A temporary force-majeure delay does not automatically convert a purchased campaign into a refundable transaction.

46. NO PARTNERSHIP, JOINT VENTURE, AGENCY OR EMPLOYMENT RELATIONSHIP

The customer’s purchase or use of Roofing Appointments Services does not create a partnership, joint venture, franchise, fiduciary relationship, employment relationship, or general agency relationship between Roofing Appointments and the customer.

Neither party has authority to bind the other except where expressly authorized in writing.

Roofing Appointments provides appointment-generation and related Services as an independent business.

The customer independently controls its:

  • Business operations;

  • Employees;

  • Sales representatives;

  • Pricing;

  • Inspections;

  • Estimates;

  • Contracts;

  • Construction work;

  • Professional services;

  • Customer relationships; and

  • Closing decisions.

47. NO THIRD-PARTY BENEFICIARIES

Except where an applicable written agreement expressly states otherwise, these Terms are intended for the benefit of Roofing Appointments and the customer and do not create contractual enforcement rights in unrelated third parties.

48. RESERVATION OF RIGHTS

Roofing Appointments’ decision to provide a replacement, reschedule an appointment, extend a deadline, offer a courtesy credit, provide additional Services, accept a late submission, continue production despite a breach, or otherwise accommodate a customer does not automatically modify these Terms or establish an ongoing obligation to provide the same accommodation in the future.

A waiver concerning one occurrence does not constitute a continuing waiver of the same or another provision unless Roofing Appointments expressly agrees otherwise in writing.

Roofing Appointments reserves all rights and remedies available under these Terms, an applicable campaign agreement, and applicable law.

49. GOOD-FAITH DISPUTE RESOLUTION

49.1 Written Notice of Dispute

Before commencing a lawsuit or other formal proceeding arising from the Services, these Terms, an appointment campaign, invoice, payment, credit decision, or other transaction with Roofing Appointments, the customer agrees, to the extent permitted by applicable law, to first provide Roofing Appointments with written notice describing the dispute.

The notice should include sufficient information to reasonably identify:

  • The customer and company;

  • The applicable campaign, invoice, or transaction;

  • The appointment or appointments involved, if applicable;

  • The nature of the dispute;

  • Relevant dates;

  • The amount disputed, if any;

  • Supporting documentation reasonably available to the customer; and

  • The resolution requested.

Written notice should be sent to the contact information identified in Section 55.

49.2 Opportunity to Review and Resolve

After receiving sufficient written notice, Roofing Appointments will have a reasonable opportunity to investigate the matter and attempt a good-faith resolution.

The parties should reasonably cooperate in exchanging information directly relevant to the dispute.

Nothing in this section requires either party to agree to a settlement or waive a legitimate claim or defense.

49.3 Emergency and Injunctive Relief

The advance-notice process does not prevent either party from seeking temporary, preliminary, emergency, or injunctive relief where reasonably necessary to prevent imminent or continuing:

  • Intellectual-property infringement;

  • Trademark infringement;

  • Trade-secret misappropriation;

  • Unauthorized disclosure of confidential information;

  • Unauthorized access to systems or data;

  • Fraud;

  • Misuse of appointment or prospect information; or

  • Other conduct for which immediate equitable relief may be legally appropriate.

49.4 Payment Disputes

Payment disputes, chargebacks, reversals, stop payments, and similar payment challenges remain additionally governed by Section 13 of these Terms.

The existing Campaign Agreement also requires written notice and a reasonable opportunity to address a payment issue before a dispute where applicable, while expressly preserving rights that cannot legally be waived.

50. GOVERNING LAW

These Terms and any dispute arising out of or relating to these Terms, the website, a Roofing Appointments campaign, or the Services will be governed by the laws of the State of Florida, without regard to conflict-of-law principles that would require application of another jurisdiction’s law, except where applicable law requires otherwise.

Nothing in this section eliminates rights or protections that cannot legally be waived by contractual choice of law.

51. VENUE & JURISDICTION

To the maximum extent permitted by applicable law, any court proceeding arising from or relating to these Terms, the website, a Roofing Appointments campaign, or the Services shall be brought in a court of competent jurisdiction located in Volusia County, Florida, unless Roofing Appointments and the customer agree otherwise in writing or applicable law requires another venue.

Each party consents to the personal jurisdiction of such courts to the extent legally permitted.

Nothing in this section prevents Roofing Appointments from seeking appropriate injunctive or protective relief in another jurisdiction when reasonably necessary to protect intellectual property, confidential information, systems, data, or other legally protectable rights.

52. LEGAL & EQUITABLE REMEDIES

52.1 Cumulative Remedies

Except where these Terms expressly provide an exclusive remedy, rights and remedies available to Roofing Appointments are cumulative to the extent permitted by law.

The availability of one remedy does not necessarily prevent Roofing Appointments from pursuing another legally available remedy.

52.2 Injunctive Relief

The customer acknowledges that certain violations may cause harm that cannot be adequately remedied solely through monetary damages.

Subject to applicable law and the determination of a court with appropriate jurisdiction, Roofing Appointments may seek injunctive or equitable relief concerning conduct including:

  • Copyright infringement;

  • Trademark infringement;

  • Misappropriation of trade secrets;

  • Unauthorized use or disclosure of confidential information;

  • Unauthorized resale or distribution of proprietary appointment data;

  • Unauthorized access to systems;

  • Impersonation;

  • Fraudulent use of Roofing Appointments’ branding; or

  • Continuing misuse of proprietary materials.

Nothing in these Terms predetermines whether a court will grant such relief.

52.3 Actual Damages

Where a material breach causes legally recoverable damages, the non-breaching party retains the right to seek damages available under applicable law and the applicable agreement, subject to the limitations of liability contained in these Terms.

52.4 No Contractual Penalty for Legitimate Criticism

Nothing in these Terms creates a contractual penalty merely because a customer:

  • Leaves an honest review;

  • Expresses a truthful negative opinion;

  • Makes a good-faith complaint;

  • Contacts an attorney;

  • Reports a legitimate concern to a regulator;

  • Participates truthfully in a legal proceeding; or

  • Exercises another legally protected right.

The provisions concerning false statements and reputation protection are directed at fraudulent, knowingly false, fabricated, defamatory where legally actionable, or otherwise unlawful conduct.

53. ATTORNEYS’ FEES & ENFORCEMENT COSTS

To the extent permitted by applicable law, if either party brings a legal action to enforce these Terms or an applicable Roofing Appointments agreement, the prevailing party may seek recovery of reasonable attorneys’ fees and taxable court costs where recoverable under the applicable agreement or law.

Roofing Appointments may also seek reasonable collection costs associated with legitimately past-due amounts to the extent permitted by law.

Nothing in this section permits recovery of a fee, cost, or charge prohibited by applicable law.

54. ELECTRONIC COMMUNICATIONS, RECORDS & SIGNATURES

54.1 Electronic Communications

By doing business electronically with Roofing Appointments, the customer consents, to the extent permitted by law, to receive business communications electronically, including:

  • Agreements;

  • Terms;

  • Invoices;

  • Receipts;

  • Campaign information;

  • Appointment information;

  • Credit decisions;

  • Replacement information;

  • Account notices;

  • Payment notices;

  • Policy notices; and

  • Other communications relating to the Services.

54.2 Electronic Signatures and Acceptance

Electronic signatures, electronic acceptance, checkbox acceptance, digital approvals, and other legally recognized electronic methods may have the same force and effect as handwritten signatures to the extent permitted by applicable law.

54.3 Electronic Records

Roofing Appointments may maintain electronic records relevant to the business relationship, including:

  • Agreements;

  • Applicable versions of these Terms;

  • Invoices;

  • Payment records;

  • Acceptance records;

  • Campaign Data Forms;

  • Emails;

  • Text communications;

  • Appointment records;

  • Recordings;

  • Credit requests;

  • Quality-control records;

  • Replacement records;

  • Account records; and

  • Other business documentation.

Such records may be used for legitimate business, accounting, compliance, quality-control, payment-dispute, collection, or legal purposes.

55. NOTICES & CONTACT INFORMATION

Unless a different notice address is stated in a campaign-specific written agreement, contractual notices to Roofing Appointments should be directed to:

Roofing Appointments LLC
131 Ormond Shores Dr.
Ormond Beach, FL 32176
United States

Email: sales@roofingappointment.com
Website: RoofingAppointment.com

A notice relating to a contractual dispute should clearly identify the customer, applicable campaign or transaction, and nature of the issue.

Appointment credit requests remain subject to the separate submission method and deadline established by the applicable Credit Policy and are not extended merely because another type of notice was sent to a general company address.

56. ASSIGNMENT

The customer may not assign or transfer a campaign, appointment package, account, replacement balance, service credit, or material contractual rights or obligations to another person or company without Roofing Appointments’ prior written approval, except where applicable law provides otherwise.

Roofing Appointments may assign these Terms or an applicable business agreement in connection with a merger, acquisition, reorganization, financing, sale of substantially all relevant assets, or other lawful business succession, subject to applicable law.

An assignment does not retroactively change Services already delivered.

57. NO WAIVER

Roofing Appointments’ failure or delay in enforcing a provision does not automatically waive that provision.

For example, Roofing Appointments’ decision to:

  • Accept a late credit request;

  • Provide a courtesy replacement;

  • Extend a payment deadline;

  • Continue campaign production despite a late payment;

  • Make a discretionary accommodation;

  • Reschedule an otherwise non-creditable appointment; or

  • Decline to enforce a provision on one occasion

does not require Roofing Appointments to provide the same accommodation in another situation.

A waiver of a material contractual right must be expressly made by a person authorized to grant the waiver.

58. SEVERABILITY

If a court of competent jurisdiction determines that any provision of these Terms is invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed to the minimum extent necessary, as applicable.

The remaining provisions will continue in effect unless applicable law requires otherwise.

If a provision can lawfully be narrowed rather than completely invalidated, the parties intend for the provision to be interpreted to the maximum lawful extent consistent with its purpose.

59. HEADINGS & INTERPRETATION

Section titles and headings are provided for organization and convenience and do not independently expand or restrict the substantive provisions of these Terms.

Words such as “including” and “includes” are intended to be illustrative and not necessarily exhaustive unless the context clearly indicates otherwise.

References to “written” or “in writing” may include legally recognized electronic communications and records where appropriate.

60. ENTIRE AGREEMENT & INCORPORATED CAMPAIGN DOCUMENTS

60.1 Documents Forming the Agreement

These Terms are intended to operate together with the written documents applicable to the customer’s particular purchase.

Depending upon the transaction, those documents may include:

  • Campaign Agreement;

  • Campaign Data Form;

  • Invoice;

  • Order;

  • Proposal;

  • Written appointment guarantee;

  • Credit and Replacement Policy;

  • Service-specific terms;

  • Reseller or white-label agreement;

  • Written amendment; and

  • Other written terms expressly incorporated into the transaction.

The website Terms establish the general rules governing Roofing Appointments Services, while campaign-specific documents may establish pricing, quantities, territory, criteria, scheduling, guarantees, or other terms unique to a particular transaction.

60.2 Order of Precedence

If there is a direct conflict between these general website Terms and a provision of a later, specifically negotiated written agreement signed or electronically accepted by both Roofing Appointments and the customer for the particular transaction, the specific written provision will control solely to the extent of that direct conflict.

Otherwise, these Terms remain in effect.

An invoice, email, text message, oral statement, sales conversation, or other communication does not modify these Terms merely because it discusses a particular transaction unless the communication clearly states an authorized modification or forms part of an expressly accepted written agreement.

60.3 No Reliance on Unauthorized Oral Representations

The customer acknowledges that material contractual promises concerning:

  • Refundability;

  • Cancellation;

  • Appointment quantity;

  • Appointment qualification;

  • Production deadlines;

  • Credits;

  • Replacement rights;

  • Sales guarantees;

  • Revenue guarantees;

  • Pricing; or

  • Other material campaign obligations

must be established by the applicable written agreement or by a written modification authorized by Roofing Appointments.

An unauthorized oral representation does not override the written terms.

61. AMENDMENTS TO A CUSTOMER’S EXISTING CAMPAIGN

Roofing Appointments will not retroactively change the material financial or campaign-specific terms of an already accepted transaction merely by updating the general website Terms.

Changes to an existing campaign’s:

  • Price;

  • Purchased quantity;

  • Express guarantee;

  • Territory;

  • Material qualification criteria;

  • Refund rights; or

  • Other specifically agreed material terms

must be made in accordance with the applicable agreement and law.

The parties may modify an existing campaign by written agreement.

62. CHANGES TO WEBSITE TERMS

Roofing Appointments may update these Terms from time to time to reflect changes in Services, business practices, technology, legal requirements, policies, or operations.

When these Terms are materially updated, Roofing Appointments may update the “Last Updated” date displayed on the Terms page and provide additional notice where required by applicable law.

Unless otherwise required by law, updated Terms apply prospectively according to their stated effective date and do not retroactively eliminate vested contractual rights arising under a previously accepted transaction.

Continued use of ongoing Services after legally effective notice of revised Terms may constitute acceptance where permitted by applicable law.

63. SURVIVAL

Termination, completion, suspension, expiration, or cessation of a customer relationship does not eliminate provisions that are intended by their nature to continue.

Applicable provisions concerning the following may survive:

  • Amounts owed;

  • Payment disputes;

  • Chargebacks and reversals;

  • Collections;

  • Copyright;

  • Trademarks;

  • Intellectual property;

  • Confidential information;

  • Trade secrets;

  • Appointment-data restrictions;

  • Recordings and business records;

  • Fraud;

  • Indemnification;

  • Limitations of liability;

  • Dispute resolution;

  • Governing law;

  • Venue;

  • Attorneys’ fees where applicable;

  • Remedies; and

  • Other accrued rights and obligations.

64. NO THIRD-PARTY MODIFICATION OF TERMS

No BPO, appointment setter, independent contractor, salesperson, vendor, call-center representative, customer-service representative, or other third party has authority to alter Roofing Appointments’ Terms unless that person has been expressly authorized by Roofing Appointments to make the specific modification.

Customers should obtain material modifications in writing.

65. CUSTOMER DUTY TO REVIEW CAMPAIGN DOCUMENTS

Before approving or paying for a campaign, the customer is responsible for reviewing the documents applicable to the purchase, including where provided:

  • Campaign Agreement;

  • Campaign Data Form;

  • Invoice;

  • Appointment criteria;

  • Guarantee;

  • Credit and Replacement Policy; and

  • These Terms.

The customer’s failure to read an available term before voluntarily accepting the transaction does not, by itself, invalidate an otherwise enforceable agreement.

66. FINAL ACKNOWLEDGMENT

BY PURCHASING, ACCEPTING, OR USING ROOFING APPOINTMENTS SERVICES, THE CUSTOMER ACKNOWLEDGES, SUBJECT TO APPLICABLE LAW, THAT THE CUSTOMER HAS HAD AN OPPORTUNITY TO REVIEW THESE TERMS BEFORE ACCEPTANCE.

THE CUSTOMER FURTHER ACKNOWLEDGES THAT:

CAMPAIGNS ARE NON-CANCELABLE ONCE PURCHASED EXCEPT WHERE APPLICABLE LAW OR AN EXPRESS WRITTEN AGREEMENT PROVIDES OTHERWISE.

PAYMENTS ARE FINAL AND NONREFUNDABLE TO THE MAXIMUM EXTENT PERMITTED BY LAW AND SUBJECT TO ANY EXPRESS WRITTEN EXCEPTION.

ROOFING APPOINTMENTS GUARANTEES THE APPLICABLE APPOINTMENT OPPORTUNITY, NOT A SALE, CONTRACT, INSURANCE APPROVAL, FINANCING APPROVAL, REVENUE, PROFIT, OR RETURN ON INVESTMENT, UNLESS A SPECIFIC WRITTEN GUARANTEE EXPRESSLY STATES OTHERWISE.

APPROVED APPOINTMENT CREDITS GENERALLY RESULT IN RESCHEDULING, REPLACEMENT APPOINTMENTS, OR APPLICABLE SERVICE CREDITS AND DO NOT AUTOMATICALLY CREATE A CASH REFUND.

CREDIT AND REPLACEMENT REQUESTS ARE SUBJECT TO THE APPLICABLE DEADLINE, DOCUMENTATION REQUIREMENTS, AND REVIEW PROCESS.

A LONGER-THAN-EXPECTED PRODUCTION PERIOD DOES NOT, BY ITSELF, CREATE A CANCELLATION OR REFUND RIGHT WHERE NO SPECIFIC DELIVERY DEADLINE WAS GUARANTEED IN WRITING.

KNOWINGLY FALSE, FRAUDULENT, FABRICATED, OR BAD-FAITH PAYMENT DISPUTES MAY CONSTITUTE A MATERIAL BREACH; HOWEVER, NOTHING IN THESE TERMS WAIVES A PAYMENT-DISPUTE RIGHT THAT APPLICABLE LAW DOES NOT PERMIT THE CUSTOMER TO WAIVE.

ROOFING APPOINTMENTS’ COPYRIGHTS, TRADEMARKS, BRANDING, PROPRIETARY MATERIALS, CONFIDENTIAL INFORMATION, DATABASES, SCRIPTS, SYSTEMS, AND OTHER INTELLECTUAL PROPERTY REMAIN PROTECTED AS PROVIDED BY THESE TERMS AND APPLICABLE LAW.

THE PROVISIONS REGARDING REVIEWS AND BUSINESS REPUTATION DO NOT PROHIBIT HONEST REVIEWS, TRUTHFUL OPINIONS, GOOD-FAITH COMPLAINTS, REGULATORY REPORTS, TESTIMONY, OR OTHER LEGALLY PROTECTED COMMUNICATIONS. THEY PROHIBIT THE TYPES OF KNOWINGLY FALSE, FABRICATED, FRAUDULENT, IMPERSONATING, OR OTHERWISE UNLAWFUL CONDUCT DESCRIBED IN THESE TERMS.

By accepting the transaction, the customer confirms that the person accepting on behalf of a business represents that they have authority to bind that business.

CANCELLATION & REFUND POLICY — IMPORTANT CUSTOMER NOTICE

This Cancellation & Refund Policy is part of the Roofing Appointments LLC Terms of Service and applies to purchases made through Roofing Appointments, including campaigns, appointment packages, setup services, data services, marketing services, call-center services, and other applicable Services.

ALL CAMPAIGNS ARE NON-CANCELABLE

ONCE A CAMPAIGN HAS BEEN PURCHASED, ACCEPTED, OR ACTIVATED, IT MAY NOT BE CANCELED BY THE CUSTOMER EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE OR ROOFING APPOINTMENTS EXPRESSLY AGREES OTHERWISE IN WRITING.

A customer’s decision to discontinue, pause, reduce, or stop using a campaign does not cancel the underlying purchase.

The existing Roofing Appointments Campaign Agreement follows the same rule: campaigns are non-cancelable once purchased and payments are final and nonrefundable after signing and payment.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

ALL SALES ARE FINAL

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL PAYMENTS ARE FINAL AND NONREFUNDABLE.

This includes applicable:

  • Appointment purchases;

  • Campaign payments;

  • Deposits and prepayments;

  • Setup fees;

  • Data fees;

  • Marketing and advertising charges;

  • Commercial appointment programs;

  • Pay-as-you-go Services already ordered or performed;

  • Call-center and answering Services;

  • Remote-sales Services;

  • Success fees once earned; and

  • Other purchased Services.

A customer does not become entitled to a refund merely because the customer changes its mind, changes personnel, changes territories, experiences financial or staffing problems, cannot service appointments, pauses a campaign, does not achieve expected sales, or no longer wishes to continue.

APPOINTMENTS ARE GUARANTEED FOR THE OPPORTUNITY — NOT THE SALE

Roofing Appointments’ guarantee concerns the applicable appointment opportunity.

ROOFING APPOINTMENTS DOES NOT GUARANTEE THAT AN APPOINTMENT WILL RESULT IN A SALE, SIGNED CONTRACT, INSURANCE CLAIM, INSURANCE APPROVAL, FINANCING APPROVAL, ROOF REPLACEMENT, REVENUE, PROFIT, COMMISSION, OR PARTICULAR RETURN ON INVESTMENT.

For storm appointments, the applicable opportunity generally concerns meeting with the property owner or authorized decision-maker and performing the contemplated roof inspection.

For retail appointments, the applicable opportunity generally concerns meeting with the property owner or authorized decision-maker, evaluating the roof, and presenting or discussing the applicable roofing estimate or services.

These distinctions are expressly contained in the existing Campaign Agreement.

NO GUARANTEE OF PROPERTY OR STORM DAMAGE

A storm-related appointment does not guarantee that physical storm damage will be discovered.

A property may satisfy the applicable campaign criteria and still produce an inspection at which the customer’s representative determines that:

  • No damage exists;

  • Damage is insufficient for replacement;

  • Damage is unrelated to the identified storm;

  • An insurance claim should not be pursued; or

  • The opportunity does not meet the customer’s preferred sales criteria.

Those outcomes do not, by themselves, invalidate the appointment.

PRODUCTION TIME DOES NOT CREATE A REFUND RIGHT

Campaign production may vary based upon territory, data, market conditions, storm activity, homeowner response, customer criteria, calendar availability, homeowner availability, quality-control requirements, weather, holidays, regulatory conditions, and other operational factors.

Unless Roofing Appointments expressly provides a specific written production guarantee applicable to the transaction, there is no guaranteed campaign-completion date.

SLOWER-THAN-EXPECTED PRODUCTION DOES NOT, BY ITSELF, CREATE A RIGHT TO CANCEL, DEMAND A REFUND, REVERSE PAYMENT, OR CONVERT REMAINING APPOINTMENTS INTO CASH.

The current Campaign Agreement likewise provides that longer delivery does not create a cancellation, refund, payment-reversal, or monetary-credit right.

APPOINTMENT CREDIT & REPLACEMENT POLICY

Roofing Appointments provides a credit-review process for appointments that may materially fail the applicable written appointment criteria or guaranteed opportunity.

48-HOUR REQUIREMENT

ALL APPOINTMENT CREDIT OR REPLACEMENT REQUESTS MUST BE SUBMITTED WITHIN 48 HOURS OF THE SCHEDULED APPOINTMENT TIME UNLESS A DIFFERENT WRITTEN CAMPAIGN POLICY EXPRESSLY APPLIES.

Requests submitted after the applicable deadline may be denied.

The customer must provide the information and supporting evidence reasonably required to evaluate the request.

The existing Campaign Agreement similarly establishes the 48-hour submission requirement and allows Roofing Appointments to review the recording, verify attendance, contact the homeowner, request evidence, and attempt rescheduling.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

APPROVED CREDITS ARE REPLACEMENTS — NOT CASH REFUNDS

AN APPROVED APPOINTMENT CREDIT DOES NOT MEAN THAT THE CUSTOMER RECEIVES MONEY BACK.

An approved credit will generally be handled through:

REPLACEMENT APPOINTMENT • RESCHEDULED APPOINTMENT • APPLICABLE SERVICE CREDIT

An approved credit is not automatically:

A CASH REFUND • PAYMENT REVERSAL • PRICE REDUCTION • CAMPAIGN CANCELLATION • CASH BALANCE OWED TO THE CUSTOMER

The existing Campaign Agreement expressly provides for this replacement-only treatment.

PAYMENT DISPUTES & CHARGEBACKS

Customers with a legitimate billing or fulfillment concern should promptly contact Roofing Appointments and provide the information reasonably necessary to investigate the issue.

Where legally permissible, Roofing Appointments should be given a reasonable opportunity to review and address the matter before a customer initiates a payment dispute concerning an alleged service or fulfillment issue.

A customer should not initiate a chargeback, bank reversal, stop payment, ACH reversal, card dispute, payment-app dispute, or similar payment challenge based solely upon contractual conditions previously accepted by the customer, such as:

  • The campaign being non-cancelable;

  • Payments being nonrefundable;

  • No sale being guaranteed;

  • No particular closing percentage being guaranteed;

  • No specific production deadline being guaranteed;

  • Approved credits being fulfilled through replacement appointments;

  • Production taking longer than expected;

  • The customer changing its mind;

  • The customer changing territory or staffing; or

  • The customer failing to achieve its expected financial result.

A knowingly false, fraudulent, fabricated, or bad-faith payment dispute may constitute a material breach of the Terms.

Roofing Appointments may provide the applicable financial institution or payment provider with relevant evidence of the transaction and performance, including contracts, invoices, electronic acceptance records, payment authorizations, communications, campaign records, appointment records, call recordings, credit-review records, replacement records, and other relevant documentation.

The Campaign Agreement already incorporates materially similar payment-dispute protections while preserving rights that cannot legally be waived.

Roofing_Appointments_Initial_Campaign_Agreement_Editable.pdf.pdf

PROTECTED PAYMENT RIGHTS

NOTHING IN THE ROOFING APPOINTMENTS TERMS PROHIBITS OR WAIVES A CUSTOMER’S RIGHT TO REPORT A GENUINELY UNAUTHORIZED TRANSACTION, ACTUAL BILLING ERROR, FRAUD, OR OTHER MATTER WHERE APPLICABLE LAW DOES NOT PERMIT THAT RIGHT TO BE WAIVED.

INTELLECTUAL PROPERTY & BRAND PROTECTION

Roofing Appointments’ original website content, branding, graphics, advertising, documents, scripts, Process Guides, forms, campaign materials, training materials, systems, databases, proprietary methodologies, and other protected materials remain the intellectual property of Roofing Appointments or their respective lawful owners.

Purchase of a campaign does not transfer ownership of Roofing Appointments’ intellectual property.

Unauthorized copying, reproduction, resale, redistribution, publication, commercial exploitation, trademark infringement, impersonation, misappropriation of confidential information, or other infringement may result in suspension or termination and the exercise of remedies available under applicable law.

REVIEWS & BUSINESS REPUTATION

Roofing Appointments does not prohibit customers from leaving honest reviews or expressing truthful opinions about their actual experiences.

Customers remain free to make good-faith complaints, communicate with regulators or law enforcement, consult attorneys, participate truthfully in legal proceedings, and exercise other legally protected rights.

However, customers may not knowingly engage in fraudulent or unlawful conduct such as:

  • Fabricating experiences;

  • Publishing knowingly false factual allegations;

  • Creating fake reviews;

  • Using false identities to manipulate ratings;

  • Coordinating fabricated review attacks;

  • Impersonating Roofing Appointments;

  • Fabricating communications;

  • Manipulating evidence to create a materially false impression; or

  • Knowingly threatening publication of fabricated factual allegations to obtain money, refunds, credits, or concessions.

The purpose of these provisions is to protect against fraud and knowingly false conduct, not legitimate criticism.

CUSTOMER ACCEPTANCE

BY PURCHASING A CAMPAIGN OR OTHER SERVICE FROM ROOFING APPOINTMENTS, THE CUSTOMER ACKNOWLEDGES THAT THE CUSTOMER HAS BEEN PROVIDED AN OPPORTUNITY TO REVIEW THE APPLICABLE TERMS OF SERVICE & CANCELLATION POLICY.

The customer acknowledges and agrees, subject to applicable law, that:

✓ CAMPAIGNS ARE NON-CANCELABLE ONCE PURCHASED.

✓ CREDIT AND REPLACEMENT REQUESTS ARE SUBJECT TO THE APPLICABLE 48-HOUR SUBMISSION AND DOCUMENTATION REQUIREMENTS.

✓ ROOFING APPOINTMENTS’ COPYRIGHTS, TRADEMARKS, BRANDING, CONFIDENTIAL INFORMATION, PROPRIETARY MATERIALS, AND OTHER INTELLECTUAL PROPERTY REMAIN PROTECTED.

✓ NOTHING IN THESE TERMS PROHIBITS HONEST REVIEWS, TRUTHFUL OPINIONS, GOOD-FAITH COMPLAINTS, OR OTHER LEGALLY PROTECTED COMMUNICATIONS.
